RELEVANT EVENT

BBVA announced today that it is extending invitations to holders outside the United States of certain of its and its respective affiliates lower Tier 2 securities to tender such securities to BBVA for cash pursuant to a unmodified Dutch-auction procedure. The aggregate outstanding principal amount of securities for which invitations are being extended is euro 2.9 billion equivalent.

The invitation is not being made, directly or indirectly, in the United States, and may not be accepted by any person located or resident in the United States.
