AMC's EXCHANGE OFFER PROPOSAL:	NOTE 2 — AMC’s EXCHANGE OFFER PROPOSAL: In July 2010, the Company received a non-binding proposal from its parent company, Americas Mining Corporation (“AMC”), offering to effect an all-stock business combination of Southern Copper and AMC, the parent company of ASARCO LLC (“Asarco”).  In October 2011, AMC announced, in light of discussions with a committee of the Company’s independent directors, that it had withdrawn the proposed transaction to combine AMC and Southern Copper.
