During the three months ended March 31, 2013, we awarded our non-employee directors 67,500 restricted stock units, which vested immediately. During the three months ended March 31, 2013, we awarded 237,721 restricted stock units to executives. In addition, 7,475 restricted stock units were earned as dividend equivalents. The restricted stock units do not carry any voting or dividend rights, except the right to receive additional restricted stock units in lieu of dividends.
The fair value of restricted stock units and restricted stock is based on the closing market price on the date of the grant. The compensation expense related to restricted stock units and restricted stock is amortized ratably over the vesting period.
During the three months ended March 31, 2013 and 2012, compensation expense related to restricted stock units and restricted stock totaled $3.1 million and $3.4 million, respectively.
