Consent of Independent Auditor

        We hereby consent to the incorporation by reference in this Registration Statement on Form F-10 of Franco-Nevada Corporation (the Company) of our report dated March 24, 2011 to the shareholders of the Company on the consolidated balance sheets of the Company as at December 31, 2010 and 2009 and the consolidated statements of operations and comprehensive income, changes in shareholders' equity and cash flows for the years then ended, which appears in Exhibit 99.2 of the initial registration statement on Form 40-F filed on August 26, 2011.
