Damit übernimmt erstmals ein am Neuen Markt notiertes Unternehmen ein an der Nasdaq gelistetes Unternehmen. Bei einem Umsatz von 16 Mio. DM im Geschäftsjahr 1998/99 erwirtschaftete Diehl Graphsoft einen Gewinn vor Steuern von 3 Mio. DM und verfügt über liquide Mittel in Höhe von 19 Mio. DM. Die Nemetschek AG wird durch die jetzt weltweite Präsenz, die Aufnahme der Apple-Plattform und durch Cross Selling ihr Umsatz- und Ertragswachstum weiter verstärken. Diehl Graphsoft ist einer der international führenden Anbieter von CAD- und Präsentations-Systemen. Die Produkte werden in über 80 Ländern von mehr als 85.000 Kunden eingesetzt. Die Nemetschek AG tritt mit dieser Akquisition in den größten Einzelmarkt, die USA, sowie Südamerika und Japan ein. Mit dem Hauptprodukt der Diehl Graphsoft, Inc., VectorWorks, dem weltweit meist genutzten CAD-System für die Apple-Plattform, erlangt die Nemetschek AG jetzt nach dem PC-Bereich auch auf der zweiten bedeutenden Computer-Plattform eine führende Wettbewerbsposition. Während Nemetschek mit seiner Software den High-End-Bereich abdeckt, stärkt VectorWorks, das auch auf der Windows-Plattform läuft, die Wettbewerbsposition von Nemetschek im Midrange-Bereich. Durch die nunmehrige Präsenz in allen Schlüsselmärkten der Welt ist die globale Vermarktung aller Produkte der Nemetschek Gruppe gesichert. Die Übernahme der Diehl Graphsoft erfolgt im Rahmen eines Merger Agreements, das am 18. Februar 2000 mit dem Board of Directors und dem Mehrheitsaktionär unterzeichnet wurde. Die Zustimmung der Aktionäre gilt als gesichert. Der Firmengründer und CEO, Richard Diehl, wird das Unternehmen weiterhin führen. This is the first time that a company listed on the Neuer Markt has acquired a NASDAQ-listed company. With sales of DM 16 million in fiscal 1998/99, Diehl Graphsoft generated a profit of DM 3 million before tax and has liquid assets of DM 19 million. The worldwide presence, going with the Apple platform and the cross-selling opportunities will further boost Nemetschek AG’s sales and revenue growth. Diehl Graphsoft is one of the world’s leading vendors of CAD and presentation systems. With more than 85,000 customers, Diehl Graphsoft products are used in more than 85 countries. With this acquisition, Nemetschek AG is entering the largest single market, the USA, as well as South America and Japan. VectorWorks, Diehl Graphsoft’s flagship product, is the world’s most widely used CAD system for Apple computers. With this acquisition, Nemetschek AG will build on its dominant position in the PC market and be one of the market leader for the second significant computer platform. Whereas Nemetschek software caters to the high end of the market, VectorWorks, which is also available for Windows systems, will strengthen Nemetschek’s competitive position in the midrange segment. With a presence in all of the world’s key markets, the Nemetschek Group is now in a position to market all of its products at a global level. Diehl Graphsoft is being acquired as part of a merger agreement signed by the Board of Directors and the majority shareholder on February 18, 2000. The agreement of the shareholders is considered to be secured. Richard Diehl, founder and CEO, will continue in his present role. He will join Nemetschek AG’s managing board and assume responsibility for the Americas and Asia.
