Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2026, the Board of Directors (the “Board”) of Archer-Daniels-Midland Company (the “Company”), upon the recommendation of its Nominating and Corporate Governance Committee, accepted the resignation of Lei Z. Schlitz from her position as a director of the Company, and asked her to remain on the Board through the end of the year. As such, Ms. Schlitz’s resignation will be effective on December 31, 2026. Ms. Schlitz had tendered her offer to resign from the Board in accordance with the Company’s Corporate Governance Guidelines as a result of a voluntary material change in her principal employment. Ms. Schlitz’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

The Board greatly appreciates Ms. Schlitz’s contributions to the Company and her dedicated service to the Board. The Company wishes her the best in her future endeavors.
