<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Western Digital Corporation, a Delaware corporation (the &#147;Company&#148;), proposes, subject to the terms and conditions stated herein, to issue and sell
to the Underwriters named in Schedule I to this agreement (this &#147;Agreement&#148;) (collectively, the &#147;Underwriters&#148;, which term shall also include any underwriter substituted as hereinafter provided in Section&nbsp;10 hereof), for
whom Merrill Lynch, Pierce, Fenner&nbsp;&amp; Smith Incorporated and J.P. Morgan Securities LLC are acting as representatives (in such capacity, the &#147;Representatives&#148; or &#147;you&#148;) on behalf of the Underwriters, acting severally and
not jointly, $2,300,000,000 aggregate principal amount of the Company&#146;s 4.750% Senior Notes due 2026 (the &#147;Notes&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">The Notes will be
issued pursuant to an indenture, to be dated as of February&nbsp;13, 2018, among (i)&nbsp;the Company, the guarantors listed on Schedule III hereto (the &#147;Guarantors&#148;) and U.S. Bank National Association, as trustee (the
&#147;Trustee&#148;). The Notes will be guaranteed on a senior unsecured basis by the Guarantors (the &#147;Guarantee&#148; and, together with the Notes, the &#147;Securities&#148;). </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">In connection with the offering of the Securities, the Company will also (i)&nbsp;conduct a tender offer (the &#147;Tender Offer&#148;) for any or all of the
Company&#146;s outstanding 10.500% senior unsecured notes due 2024 (the &#147;10.500% Notes&#148;) that were issued pursuant to the indenture, dated as of April&nbsp;13, 2016 (the &#147;10.500% Notes Indenture&#148;), among the Company, the
guarantors party thereto and U.S. Bank National Association, as trustee, upon the terms and subject to the conditions set forth in that certain Offer to Purchase and Consent Solicitation Statement, dated January&nbsp;29, 2018 (the &#147;Offer to
Purchase&#148;), and solicit consents to amend the 10.500% Notes Indenture (the &#147;Consent Solicitation&#148; and, together with the Tender Offer, the &#147;Tender Offer and Consent Solicitation&#148;) and (ii)&nbsp;issue a conditional notice of
redemption (the &#147;Conditional Call Notice&#148;) to redeem any or all of the 10.500% Notes that remain outstanding after consummation of the Tender Offer and Consent Solicitation. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">1. (a) Each of the Company and the Guarantors, jointly and severally, represents and warrants to, and agrees with, each of the Underwriters that: </P>

Disclosure Package and the Prospectus or such as do not materially interfere with the use of such property by the Company and its subsidiaries; and any material real property and buildings held under lease by the Company and its subsidiaries are
held by them under valid, subsisting and enforceable leases with such exceptions as are not material and do not materially interfere with the use of such property by the Company and its subsidiaries; </P>

Guarantors with this Agreement, the issuance and sale of the Securities and the consummation of the transactions herein contemplated will not conflict with or result in a breach or violation of any of the terms or provisions of, or constitute a
default under, (a)&nbsp;any indenture, mortgage, deed of trust, loan agreement or other agreement or instrument to which the Company or any of the Guarantors is a party or by which the Company or any of the Guarantors is bound or to which any of the
property or assets of the Company or any of the Guarantors is subject, (b)&nbsp;the Certificate of Incorporation or Bylaws, or other organizational documents, as applicable, of the Company or the Guarantors or (c)&nbsp;any statute or any order, rule
or regulation of any court or governmental agency or body having jurisdiction over the Company or any of the Guarantors or any of their properties, except, in the case of clauses (a)&nbsp;and (c), as would not reasonably be expected to have,
individually or in the aggregate, a Material Adverse Effect; and no consent, approval, authorization, order, registration or qualification of or with any such court or governmental agency or body is required for the issuance and sale of the
Securities or the consummation by the Company or the Guarantors of the transactions contemplated by this Agreement, except (u)&nbsp;such as have been obtained under the Act (including&nbsp;the registration under the Act of the Securities) and the
Trust Indenture Act, (v)&nbsp;as disclosed in the Pricing Prospectus, (w)&nbsp;the approval by the Financial Industry Regulatory Authority, Inc. (&#147;FINRA&#148;) of the underwriting terms and arrangements, (x)&nbsp;such consents, approvals,
authorizations, orders, registrations or qualifications as may be required under foreign or state securities or Blue Sky laws in connection with the purchase and distribution of the Securities by the Underwriters, (y)&nbsp;such consents, approvals,
authorizations, orders, registrations or qualifications as will have been obtained or made as of the Time of Delivery and (z)&nbsp;where the failure to obtain or make any such consent, approval, authorization, order, registration or qualification
would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect or materially adversely affect the ability to consummate the transactions contemplated hereby; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xiii) Neither the Company nor any of the Guarantors is (a)&nbsp;in violation of its Certificate of Incorporation or Bylaws or similar organizational
documents, as applicable or (b)&nbsp;in default in the performance or observance of any material obligation, agreement, covenant or condition contained in any indenture, mortgage, deed of trust, loan agreement, lease or other agreement or instrument
to which it is a party or by which it or any of its properties may be bound, except, in the case of clause (b), as would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xiv) The statements set forth in the Pricing Disclosure Package and the Prospectus under the caption &#147;Description of Notes&#148;, insofar as they
purport to constitute a summary of the terms of the Notes, under the captions &#147;U.S. Federal Income Tax Considerations&#148; and &#147;Underwriting&#148;, insofar as they purport to describe the provisions of the laws and documents referred to
therein, are accurate, complete and fair in all material respects; provided, however, that this representation and warranty shall not apply to any statements made in reliance upon and in conformity with the Underwriter Information; </P>

Rights&#148;) reasonably necessary to conduct their businesses as now conducted and (ii), except as disclosed in the Pricing Disclosure Package and the Prospectus, neither the Company nor any of its subsidiaries has received any notice of
infringement of or conflict with asserted Intellectual Property Rights of others; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xvii) The Company and each of its subsidiaries have filed all federal

established or maintained by the Company, its subsidiaries or any of their respective ERISA Affiliates, if such &#147;single-employer plan&#148; were terminated, would have any &#147;amount of unfunded benefit liabilities&#148; (as defined under
Section&nbsp;4001 of ERISA); (iii) neither the Company, its subsidiaries nor any of their respective ERISA Affiliates has incurred or, to the knowledge of the Company, reasonably expects to incur (A)&nbsp;any liability under Title IV of ERISA with
respect to termination of, or withdrawal from, any &#147;employee benefit plan&#148; or (B)&nbsp;any liability under Section&nbsp;412 of the Code or tax imposed by Section&nbsp;4971, 4975 or 4980B of the Code; and (iv)&nbsp;each &#147;employee
pension benefit plan&#148; established or maintained by the Company, its subsidiaries or any of their respective ERISA Affiliates that is intended to be qualified under Section&nbsp;401 of the Code is so qualified and, to the knowledge of the
Company, nothing has occurred, whether by action or failure to act, which would reasonably be expected to cause the loss of such qualification; </P>

the Office of Foreign Assets Control of the U.S. Department of the Treasury, the U.S. Department of Commerce or the U.S. Department of State, the United Nations Security Council, the European Union or Her Majesty&#146;s Treasury of the United
Kingdom, or other relevant sanctions authority (collectively, &#147;Sanctions&#148; and any such person, a &#147;Sanctioned Person&#148;), nor is the Company or any of its subsidiaries located or organized in a country or territory that is the
subject or target of country-wide or territory-wide Sanctions (currently, Cuba, Iran, North Korea, Syria and Crimea) (each, a &#147;Sanctioned Country&#148;). The Company will not, directly or indirectly, use the proceeds of the offering of the
Securities hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity, (i)&nbsp;to fund or facilitate any activities of or business with any person that, at the time of
such funding or facilitation, is the subject or target of Sanctions, (ii)&nbsp;to fund or facilitate any activities of or business in any country or territory that, at the time of such funding or facilitation, is a Sanctioned Country, in violation
of Sanctions or (iii)&nbsp;in any other manner, in each case as would result in a violation by any person (including any person participating in the offering, whether as underwriter, initial purchaser, advisor, investor or otherwise) of Sanctions.

other unlawful expense relating to political activity; (ii)&nbsp;made any direct or indirect unlawful payment or benefit to any foreign or domestic government official or employee from corporate funds; or (iii)&nbsp;violated or is in violation of
the United States Foreign Corrupt Practices Act of 1977, as amended. The Company and its subsidiaries have instituted, maintained and enforced and will continue to maintain and enforce policies and procedures designed to promote compliance with all
applicable anti-bribery and anti-corruption laws; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xxxi) The operations of the Company and its subsidiaries are and have been conducted at all times in
material compliance with applicable anti-money laundering laws, and no action, suit or proceeding by or before any court or governmental agency, authority or body or any arbitrator involving the Company or any of its subsidiaries with respect to any
applicable anti-money laundering law is pending or, to the knowledge of the Company or any Guarantor, threatened; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xxxii) The Company and each of its
subsidiaries possess such valid and current certificates, authorizations or permits issued by the appropriate state, federal or foreign regulatory agencies or bodies necessary to own, lease and operate its properties and to conduct their respective
businesses, except where the failure to have such certificates, authorizations or permits would not reasonably be expected to result in a Material Adverse Effect, and neither the Company nor any its subsidiaries has received any notice of
proceedings relating to the revocation or modification of, or <FONT STYLE="white-space:nowrap">non-compliance</FONT> with, any such certificate, authorization or permit which, individually or in the aggregate, if the subject of an unfavorable
decision, ruling or finding, would reasonably be expected to result in a Material Adverse Effect. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(xxxiii) At the Time of Delivery, immediately following

they are expected to mature and (iv)&nbsp;such person does not have unreasonably small capital. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">2. Subject to the terms and conditions herein set forth,
the Company agrees to issue and sell to each of the Underwriters, and each of the Underwriters agrees, severally and not jointly, to purchase from the Company, the respective principal amount of Securities set forth opposite the name of such
Underwriter in Schedule I hereto, at a purchase price of 99.3119% of the aggregate principal amount thereof, plus accrued and unpaid interest, if any, from February&nbsp;13, 2018 to the Time of Delivery. </P>

<FONT STYLE="white-space:nowrap">(same-day)</FONT> funds to the account specified by the Company to the Representatives at least forty-eight hours in advance. The time and date of such delivery and payment shall be, with respect to the Securities,
9:30 a.m., New York time, on February&nbsp;13, 2018 or such other time and date as the Representatives and the Company may agree upon in writing. Such time and date for delivery of the Securities are herein called the &#147;Time of Delivery&#148;.

Company and the Representatives), (the &#147;Closing Location&#148;), and the Securities will be delivered at the office of DTC or its designated custodian, all at the Time of Delivery. A telephonic meeting will be held at 9:30 p.m., New York City
time, on the New York Business Day next preceding the Time of Delivery, at which time the final drafts of the documents to be delivered pursuant to the preceding sentence will be available for review by the parties hereto. For the purposes of this
Section&nbsp;4, &#147;New York Business Day&#148; shall mean each Monday, Tuesday, Wednesday, Thursday and Friday which is not a day on which banking institutions in New York are generally authorized or obligated by law or executive order to close.

to be on a consolidated basis to the extent the accounts of the Company and its subsidiaries are consolidated in reports furnished to its stockholders generally or to the Commission), provided, that the Company may satisfy the requirements of this
subsection by filing such information with the Commission via EDGAR; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(g) If the Company elects to rely upon Rule 462(b), the Company shall file a
Rule 462(b) Registration Statement with the Commission in compliance with Rule 462(b) by 10:00 p.m., Washington, D.C. time, on the date of this Agreement, and the Company shall at the time of filing either pay to the Commission the filing fee for
the Rule 462(b) Registration Statement or give irrevocable instructions for the payment of such fee pursuant to Rule 3a(c) of the Commission&#146;s Informal and Other Procedures (16 CFR 202.3a); </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">6.&nbsp;&nbsp;&nbsp;&nbsp;(a) The Company represents and agrees that, without the prior consent of the Representatives, it has not made and will not make any
offer relating to the Securities that would constitute a &#147;free writing prospectus&#148; as defined in Rule 405 under the Act; each Underwriter represents and agrees that, without the prior consent of the Company, Merrill Lynch, Pierce,
Fenner&nbsp;&amp; Smith Incorporated or J.P. Morgan Securities LLC, it has not made and will not make any offer relating to the Securities that would constitute a free writing prospectus; any such free writing prospectus the use of which has been
consented to by the Company and the Representatives is listed on Schedule II(a) hereto; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) The Company has complied and will comply with the
requirements of Rule 433 under the Act applicable to any Issuer Free Writing Prospectus, including timely filing with the Commission or retention where required and legending; and the Company represents that it has satisfied and agrees that it will
satisfy the conditions under Rule 433 under the Act to avoid a requirement to file with the Commission any electronic road show; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) The Company
agrees that if at any time following the issuance of an Issuer Free Writing Prospectus, any event occurred or occurs as a result of which such Issuer Free Writing Prospectus would conflict with the information in the Registration Statement, the
Pricing Prospectus or the Prospectus or would include an untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in the light of the circumstances then prevailing, not misleading, the
Company will give prompt notice thereof to the Representatives, will prepare (subject to paragraph (a)&nbsp;above) and furnish without charge to each Underwriter an Issuer Free Writing Prospectus or other document which will correct such conflict,
statement or omission; provided, however, that this representation and warranty shall not apply to any statements or omissions in an Issuer Free Writing Prospectus made in reliance upon and in conformity with the Underwriter information. </P>

Underwriters that (a)&nbsp;the Company and the Guarantors, jointly and severally, will pay or cause to be paid the following: (i)&nbsp;the fees, disbursements and expenses of the Company&#146;s counsel and accountants in connection with the
registration of the Securities under the Act and all other expenses in connection with the preparation, printing, reproduction, delivery and filing of the Registration Statement (including financial statements and exhibits), any Preliminary
Prospectus, any Issuer Free Writing Prospectus and the Prospectus and amendments and supplements thereto and the mailing and delivering of copies thereof to the Underwriters and any costs associated with electronic delivery of any of the foregoing
by the Underwriters to investors; (ii)&nbsp;the cost of printing or producing this Agreement, the Blue Sky Memorandum, closing documents (including any compilations thereof) and any other documents in connection with the offering, purchase, sale and
delivery of the Securities; (iii)&nbsp;all expenses in connection with the qualification of the Securities for offering and sale under securities laws as provided in Section&nbsp;5(b) hereof, including filing fees and the reasonable and documented
fees and disbursements of counsel for the Underwriters in connection with such qualification and in connection with the preparation of the Blue Sky survey and any supplement thereto; (iv)&nbsp;the filing fees incident to, and the reasonable and
documented fees and disbursements of counsel for the Underwriters in connection with, any required review by FINRA of the terms of the sale of the Securities; (v)&nbsp;the cost and charges of any transfer agent or registrar for the Securities;
(vi)&nbsp;all costs and expenses incurred in connection with making road show presentations and holding meetings with potential investors; (vii)&nbsp;any fees payable in connection with the rating of the Securities with the ratings agencies;
(viii)&nbsp;all fees and expenses (including reasonable fees and expenses of counsel) of the Company and the Guarantors in connection with approval of the Securities by DTC for &#147;book-entry&#148; transfer, and the performance by the Company and
the Guarantors of their respective other obligations under this Agreement; (ix)&nbsp;the fees and expenses of the Trustee, including the fees and disbursements of counsel for the Trustee in connection with the Indenture and the Securities, and
(x)&nbsp;all other costs and expenses incident to the performance of its obligations hereunder which are not otherwise specifically provided for in this Section; provided, however, that reimbursements to the Underwriters, if any, shall be limited to
expenses actually incurred and provided, further, that in the case of clauses (iii)&nbsp;and (iv)&nbsp;above the Company shall not be required to reimburse fees and expenses of counsel for the Underwriters in excess of $15,000 in the aggregate. It
is understood, however, that, except as provided in this Section&nbsp;7, and Sections 9 and 12 hereof, the Underwriters will pay all of their own costs and expenses, including the fees of their counsel, stock transfer taxes on resale of any of the
Securities by them, and any advertising expenses connected with any offers they may make. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">8. The obligations of the Underwriters hereunder, as to the
Securities to be delivered at the Time of Delivery, shall be subject, in their discretion, to the condition that all representations and warranties and other statements of the Company herein are, as of the date hereof and at and as of the Time of
Delivery, true and correct, the condition that the Company shall have performed all of its obligations hereunder theretofore to be performed, and the following additional conditions: </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(a) The Prospectus shall have been filed with the Commission pursuant to Rule&nbsp;424(b) under the Act within the applicable time period prescribed for such
filing by the rules and regulations under the Act and in accordance with Section&nbsp;5(a) hereof; all material required to be filed by the Company pursuant to Rule 433(d) under the Act shall have been filed with the Commission within the applicable
time period prescribed for such filing by Rule 433; if the Company has elected to rely upon Rule 462(b) under the Act, the Rule 462(b) Registration Statement shall have become effective by 10:00 p.m., Washington, D.C. time, on the date of this
Agreement; no stop order suspending the effectiveness of the Registration Statement or any part thereof shall have been issued and no proceeding for that purpose or pursuant to Section&nbsp;8(a) of the Act shall have been initiated or, to the
knowledge of the Company or any Guarantor, threatened by the Commission; no stop order suspending or preventing the use of the Prospectus or any Issuer Free Writing Prospectus shall have been initiated or, to the knowledge of the Company or any
Guarantor, threatened by the Commission; and all requests for additional information on the part of the Commission shall have been complied with to your reasonable satisfaction; </P>

Representatives such written opinion or opinions, dated the Time of Delivery, in form and substance reasonably satisfactory to the Representatives with respect to such matters as the Representatives may reasonably request, and such counsel shall
have received such papers and information as they may reasonably request to enable them to pass upon such matters; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) Cleary Gottlieb Steen&nbsp;&amp;
Hamilton LLP, counsel for the Company shall have furnished to the Representatives its written opinion, dated the Time of Delivery, in form and substance reasonably satisfactory to the Representatives; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(d)&nbsp;(i) On the date of the Prospectus at a time prior to the execution of this Agreement, at 9:30 a.m., New York City time, on the effective date of any
post-effective amendment to the Registration Statement filed subsequent to the date of this Agreement and also at the Time of Delivery, KPMG shall have furnished to the Representatives a letter or letters, dated the respective dates of delivery
thereof, and (ii)&nbsp;on the date of the Prospectus at a time prior to the execution of this Agreement, E&amp;Y shall have furnished to the Representatives a letter, dated the date of this Agreement, in each case in form and substance reasonably
satisfactory to the Representatives and in accordance with professional auditing standards and including statements and information of the type ordinarily included in accountants&#146; &#147;comfort letters&#148; to underwriters with respect to the
financial statements and certain financial information contained in the Pricing Disclosure Package, Registration Statement and the Prospectus and any amendment or supplement thereto; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(e)&nbsp;&nbsp;&nbsp;&nbsp;(i) The Company and its consolidated subsidiaries, taken as a whole, shall not have sustained since the date of the latest audited
financial statements included or incorporated by reference in the Pricing Disclosure Package and the Prospectus any loss or interference with its business from fire, explosion, flood or other calamity, whether or not covered by insurance, or from
any labor dispute or court or governmental action, order or decree, otherwise than as set forth or contemplated in the Pricing Disclosure Package and the Prospectus, and (ii)&nbsp;since the respective dates as of which information is given in the
Pricing Disclosure Package and the Prospectus there shall not have been any change in the capital stock or long-term debt of the Company and its consolidated subsidiaries, taken as a whole, or any change, or any development involving a prospective
change, in or affecting the general affairs, management, financial position, stockholders&#146; equity or results of operations of the Company and its subsidiaries, taken as a whole, in each case otherwise than as set forth or contemplated in the
Pricing Disclosure Package and the Prospectus, the effect of which, in any such case described in clause (i)&nbsp;or (ii), is in your judgment so material and adverse as to make it impracticable or inadvisable to proceed with the public offering or
the delivery of the Securities being delivered at the Time of Delivery on the terms and in the manner contemplated in the Pricing Disclosure Package and the Prospectus; </P>

authorities or a material disruption in commercial banking or securities settlement or clearance services in the United States; (iv)&nbsp;the outbreak or escalation of hostilities involving the United States or the declaration by the United States
of a national emergency or war or (v)&nbsp;the occurrence of any other calamity or crisis or any change in financial, political or economic conditions in the United States or elsewhere, if the effect of any such event specified in clause
(iv)&nbsp;or (v)&nbsp;in your judgment makes it impracticable or inadvisable to proceed with the public offering or the delivery of the Securities being delivered at the Time of Delivery on the terms and in the manner contemplated in the Pricing

change in any such rating that does not indicate the direction of the possible change; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(h) The Indenture shall have been duly executed and delivered by a
duly authorized officer of the Company, each of the Guarantors and the Trustee, and the Securities shall have been duly executed and delivered by a duly authorized officer of the Company and duly authenticated by the Trustee; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(i) The Company shall have complied with the provisions of Section&nbsp;5(c) hereof with respect to the furnishing of prospectuses on the New York Business
Day next succeeding the date of this Agreement; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(j) The Company shall have furnished or caused to be furnished to the Representatives at the Time of
Delivery a written certificate of the Chief Executive Officer or the President of the Company and of the chief financial or chief accounting officer of the Company satisfactory to the Representatives (i)&nbsp;as to the accuracy of the
representations and warranties of the Company herein at and as of the Time of Delivery, (ii)&nbsp;as to the performance by the Company of all of its obligations hereunder to be performed at or prior to the Time of Delivery, (iii)&nbsp;as to such
other matters as the Representatives may reasonably request, and (iv)&nbsp;as to the matters set forth in subsections (a)&nbsp;and (e)&nbsp;of this Section&nbsp;8; </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(k) The Company shall have taken all acts reasonably required to be taken by them in order to have the Securities eligible for clearance and settlement
through DTC; </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(l) Substantially concurrently with the issue and sale of the Securities at the Time of Delivery, (i)&nbsp;if the Company shall have
received consents and tenders from the holders of at least a majority of the aggregate outstanding principal amount of the outstanding 10.500% Notes in the Tender Offer and Consent Solicitation, as described in the 10.500% Notes Offer to Purchase
(and the supplemental indenture with respect to the 10.500% Notes Indenture has been executed by the issuer thereof and the trustee thereunder and such supplemental indenture has become effective), and at the Time of Delivery shall have paid (or
substantially concurrently with the closing hereunder shall pay) to each such holder (or to the trustee in trust for such holder) of the 10.500% Notes the Tender Offer Consideration or the Consent Payment, as applicable (each, as defined in the
Offer to Purchase) that have so tendered and, if the holders of 100% of the aggregate outstanding principal amount of the 10.500% Notes have not tendered their 10.500% Notes in the Tender Offer and Consent Solicitation, the Company shall issue an
unconditional notice of redemption with respect to the outstanding 10.500% Notes not so tendered or (ii)&nbsp;if the Company receives tenders and consents from the holders of less than a majority of the aggregate outstanding principal amount of the
10.500% Notes on or before the Time of Delivery, then the Company shall take actions necessary to satisfy and discharge all of its obligations in respect of the 10.500% Notes Indenture in a manner reasonably satisfactory to the Representatives and
shall issue an unconditional notice of redemption with respect to the outstanding 10.500% Notes; and </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(m) The Underwriters shall have received from the
chief financial officer of the Company, (i)&nbsp;a chief financial officer&#146;s certificate dated the date hereof, executed by the chief financial officer of the Company, in form and substance reasonably satisfactory to the Representatives, and
(ii)&nbsp;a &#147;bring-down&#148; chief financial officer&#146;s certificate, dated as of the Time of Delivery, executed by the chief financial officer of the Company, in form and substance reasonably satisfactory to the Representatives, which
includes, among other things, a reaffirmation of the statements made in its initial letter furnished pursuant to clause&nbsp;(i), in each case, regarding certain financial information contained in the Pricing Disclosure Package and the Prospectus,
respectively. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">9.&nbsp;&nbsp;&nbsp;&nbsp;(a) Each of the Company and the Guarantors, jointly and severally, agrees to indemnify and hold harmless each

Preliminary Prospectus, the Pricing Prospectus, the Pricing Disclosure Package or the Prospectus, or any amendment or supplement thereto, any Issuer Free Writing Prospectus or any &#147;issuer information&#148; filed or required to be filed pursuant
to Rule 433(d) under the Act or caused by any omission or alleged omission to state therein a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; and to
reimburse each Underwriter and each such director, officer, affiliate or controlling person for any legal or other expenses reasonably incurred by such Underwriter or such affiliate, director, officer or controlling person in connection with

the Statement of Eligibility and Qualification on Form <FONT STYLE="white-space:nowrap">T-1</FONT> of the Trustee under the Trust Indenture Act. The indemnity agreement set forth in this Section&nbsp;9(a) shall be in addition to any liabilities that
the Company or any Guarantor may otherwise have. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) Each Underwriter agrees, severally and not jointly, to indemnify and hold harmless the Company and
each Guarantor each of their respective officers, directors and each person, if any, who controls the Company or any Guarantor within the meaning of the Act, against any loss, claim, damage or liability to which the Company or any Guarantor or any
such officer, director or controlling person may become subject, under the Act or otherwise, insofar as such loss, claim, damage or liability (or actions in respect thereof as contemplated below) arises out of, or is based upon, (i)&nbsp;any untrue
statement or alleged untrue statement of a material fact contained in the Registration Statement or caused by any omission or alleged omission to state therein a material fact required to be stated therein or necessary in order to make the
statements therein, not misleading, or (ii)&nbsp;any untrue statement or alleged untrue statement of a material fact contained in any Preliminary Prospectus, the Pricing Prospectus, the Pricing Disclosure Package or the Prospectus, or any amendment
or supplement thereto, any Issuer Free Writing Prospectus or any &#147;issuer information&#148; filed or required to be filed pursuant to Rule 433(d) under the Act, or caused by any omission or alleged omission to state therein a material fact

or alleged omission was made in the Registration Statement, any Preliminary Prospectus, the Pricing Prospectus, the Pricing Disclosure Package or the Prospectus, or any amendment or supplement thereto, any Issuer Free Writing Prospectus or any
&#147;issuer information&#148; filed or required to be filed pursuant to Rule 433(d) under the Act, in reliance upon and in conformity with the Underwriter Information; and to reimburse the Company and any Guarantor and each such officer, director
or controlling person for any legal or other expenses reasonably incurred by the Company or any Guarantor or such officer, director or controlling person in connection with investigating or defending any such action or claim as such expenses are
incurred. The indemnity agreement set forth in this Section&nbsp;9(b) shall be in addition to any liabilities that each Underwriter may otherwise have. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) Promptly after receipt by an indemnified party under clause (a)&nbsp;or (b) of this Section&nbsp;9 of notice of the commencement of any action, such
indemnified party shall, if a claim in respect thereof is to be made against the indemnifying party under such subsection, notify the indemnifying party in writing of the commencement thereof; provided, that the failure to notify the indemnifying
party shall not relieve it from any liability that it may have under the preceding paragraphs of this Section&nbsp;9 except to the extent that it has been materially prejudiced (through the forfeiture of substantive rights or defenses) by such
failure; and provided, further, the omission so to notify the indemnifying party shall not relieve it from any liability which it may have to any indemnified party otherwise than under such subsection. In case any such action

to the indemnifying party), and, after notice from the indemnifying party to such indemnified party of its election so to assume the defense thereof, the indemnifying party shall not be liable to such indemnified party under such subsection for any
legal expenses of other counsel or any other expenses, in each case subsequently incurred by such indemnified party, in connection with the defense thereof other than reasonable costs of investigation unless (i)&nbsp;the indemnifying party and the
indemnified party shall have mutually agreed to the contrary; (ii)&nbsp;the indemnifying party has failed within a reasonable time to retain counsel reasonably satisfactory to the indemnified party; (iii)&nbsp;the indemnified party shall have
reasonably concluded that there may be legal defenses available to it that are different from or in addition to those available to the indemnifying party; or (iv)&nbsp;the defendants in any such action include both the indemnified party and the
indemnifying party and the indemnified party shall have reasonably concluded that an actual or potential conflict of interest exists between them. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(d)
The indemnifying party under this Section&nbsp;9 shall not be liable for any settlement of any proceeding effected without its written consent, which will not be unreasonably withheld, but if settled with such consent or if there is a final judgment
for the plaintiff, the indemnifying party agrees to indemnify the indemnified party against any loss, claim, damage or liability by reason of such settlement or judgment. No indemnifying party shall, without the prior written consent of the
indemnified party, effect any settlement, compromise or consent to the entry of judgment in any pending or threatened action, suit, claim or proceeding in respect of which indemnification or contribution may be sought (whether or not any indemnified
party is or could have been a party), unless such settlement, compromise or consent (i)&nbsp;includes an unconditional release of such indemnified party, in form and substance reasonably satisfactory to such indemnified party, from all liability
arising out of such action, suit or proceeding and (ii)&nbsp;does not include any statements as to or any findings of fault, culpability or failure to act by or on behalf of any indemnified party. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(e) If the indemnification provided for in this Section&nbsp;9 is for any reason held to be unavailable to or otherwise insufficient to hold harmless an
indemnified party in respect of any losses, claims, damages, or liabilities (or action in respect thereof) referred to herein, then each indemnifying party shall contribute to the aggregate amount paid or payable by such indemnified party, as
incurred, as a result of any losses, claims, damages, or liabilities (or action in respect thereof) referred to therein (i)&nbsp;in such proportion as is appropriate to reflect the relative benefits received by the Company and the Guarantors, on the
one hand, and the Underwriters, on the other hand, from the offering of the Securities pursuant to this Agreement or (ii)&nbsp;if the allocation provided by clause (i)&nbsp;above is not permitted by applicable law or if the indemnified party failed
to give the notice required under Section&nbsp;9(c), then each indemnifying party shall contribute to the such amount paid or payable by such indemnified party in such proportion as is appropriate to reflect not only the relative benefits referred
to in clause (i)&nbsp;above but also the relative fault of the Company and the Guarantors, on the one hand, and the Underwriters, on the other hand, in connection with the statements or omissions, which resulted in such losses, claims, damages, or
liabilities (or action in respect thereof), as well as any other relevant equitable considerations. The relative benefits received by the Company and the Guarantors on the one hand, and the Underwriters, on the other hand, in connection with the
offering of the Securities pursuant to this Agreement shall be deemed to be in the same proportions as the total net proceeds from the offering of the Securities pursuant to this Agreement (before deducting expenses) received by the Company bear to
the total discounts and commissions received by the Underwriters. The relative fault of the Company and the Guarantors, on the one hand, and the Underwriters, on the other hand, shall be determined by reference to, among other things, whether any
such untrue or alleged untrue statement of a material fact or omission or alleged omission to state a material fact relates to information supplied by the Company and the Guarantors, on the one hand, or the Underwriters, on the other hand, and the
parties&#146; relative intent, knowledge, access to information and opportunity to correct or prevent such statement or omission. </P>

<HR  SIZE="3" style="COLOR:#999999" WIDTH="100%" ALIGN="CENTER">

 <P STYLE="margin-top:0pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The amount paid or payable by a party as a result of the losses, claims, damages, and liabilities
(or action in respect thereof) referred to above shall be deemed to include, subject to the limitations set forth in this Section&nbsp;9, any legal or other fees or expenses reasonably incurred by such party in connection with investigating or
defending any action or claim. The provisions set forth in this Section&nbsp;9 with respect to notice of commencement of any action shall apply if a claim for contribution is to be made under this Section&nbsp;9(e); provided, however, that no
additional notice shall be required with respect to any action for which notice has been given under Section&nbsp;9(c) hereof for purposes of indemnification. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Underwriters, on the one hand, and the Company and the Guarantors, on the other hand, agree that it would not be just and equitable if
contribution pursuant to this Section&nbsp;9 were determined by pro rata allocation (even if the Underwriters were treated as one entity for such purpose) or by any other method of allocation which does not take account of the equitable
considerations referred to in this Section&nbsp;9(e). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Notwithstanding the provisions of this Section&nbsp;9(e), no Underwriter shall be
required to contribute any amount in excess of the discounts and commissions received by such Underwriter in connection with the Securities distributed by it. No person guilty of fraudulent misrepresentation (within the meaning of Section&nbsp;11 of
the Act) shall be entitled to contribution from any person who was not guilty of such fraudulent misrepresentation. The Underwriters&#146; obligations to contribute pursuant to this Section&nbsp;9(e) are several, and not joint, in proportion to
their respective commitments as set forth opposite their names in Schedule I hereto. For purposes of this Section&nbsp;9(e), each affiliate, director and officer of an Underwriter and each person, if any, who controls an Underwriter within the
meaning of the Act shall have the same rights to contribution as such Underwriter, and each director and officer of the Company or any Guarantor and each person, if any, who controls the Company or any Guarantor within the meaning of the Act shall
have the same rights to contribution as the Company and the Guarantors. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">10.&nbsp;&nbsp;&nbsp;&nbsp;(a) If any Underwriter shall default in its obligation
to purchase the Securities that it has agreed to purchase hereunder at the Time of Delivery, the Representatives may in their discretion arrange for one or more <FONT STYLE="white-space:nowrap">non-defaulting</FONT> Underwriters or any other
underwriter to purchase such Securities on the terms contained herein. If within <FONT STYLE="white-space:nowrap">thirty-six</FONT> hours after such default by any Underwriter you do not arrange for the purchase of such Securities, then the Company
shall be entitled to a further period of <FONT STYLE="white-space:nowrap">thirty-six</FONT> hours within which to procure another party or other parties satisfactory to you to purchase such Securities on such terms. In the event that, within the
respective prescribed periods, the Representatives notify the Company that you have so arranged for the purchase of such Securities, or the Company notifies the Representatives that it has so arranged for the purchase of such Securities, you or the
Company shall have the right to postpone the Time of Delivery for a period of not more than seven days, in order to effect whatever changes may thereby be made necessary in the Registration Statement or the Prospectus, or in any other documents or
arrangements, and the Company agrees to file promptly any amendments or supplements to the Registration Statement or the Prospectus which in your opinion may thereby be made necessary. The term &#147;Underwriter&#148; as used in this Agreement shall
include any person substituted under this Section with like effect as if such person had originally been a party to this Agreement with respect to such Securities. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(b) If, after giving effect to any arrangements for the purchase of the Securities of a defaulting Underwriter or Underwriters by you and the Company as
provided in subsection (a)&nbsp;above, the aggregate principal amount of such Securities which remains unpurchased does not exceed <FONT STYLE="white-space:nowrap">one-eleventh</FONT> of the aggregate principal amount of all the Securities to be
purchased at the Time of Delivery, then the Company shall have the right to require each <FONT STYLE="white-space:nowrap">non-defaulting</FONT> Underwriter to purchase the principal amount of Securities which such Underwriter agreed to purchase
hereunder at the Time of Delivery and, in addition, to require each <FONT STYLE="white-space:nowrap">non-defaulting</FONT> Underwriter to purchase its pro rata share (based on the principal amount of Securities which such Underwriter agreed to
purchase hereunder) of the Securities of such defaulting Underwriter or Underwriters for which such arrangements have not been made; but nothing herein shall relieve a defaulting Underwriter from liability for its default. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">(c) If, after giving effect to any arrangements for the purchase of the Securities of a defaulting Underwriter or
Underwriters by you and the Company as provided in subsection (a)&nbsp;above, the aggregate principal amount of Securities which remains unpurchased exceeds <FONT STYLE="white-space:nowrap">one-eleventh</FONT> of the aggregate principal amount of
all the Securities to be purchased at the Time of Delivery, or if the Company shall not exercise the right described in subsection (b)&nbsp;above to require <FONT STYLE="white-space:nowrap">non-defaulting</FONT> Underwriters to purchase Securities
of a defaulting Underwriter or Underwriters, then this Agreement shall thereupon terminate, without liability on the part of any <FONT STYLE="white-space:nowrap">non-defaulting</FONT> Underwriter, the Company or any Guarantors, except for the
expenses to be borne by the Company, the Guarantors and the Underwriters as provided in Section&nbsp;7 hereof and the indemnity and contribution agreements in Section&nbsp;9 hereof; but nothing herein shall relieve a defaulting Underwriter from
liability for its default. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">11. The respective indemnities, rights of contribution, agreements, representations, warranties and other statements of the
Company, the Guarantors and the several Underwriters, as set forth in this Agreement or made by or on behalf of them, respectively, pursuant to this Agreement, shall remain in full force and effect, regardless of any investigation (or any statement
as to the results thereof) made by or on behalf of any Underwriter or any controlling person, affiliate, director and officer of any Underwriter, the Company or any Guarantor, or any officer, director or controlling person of the Company or any
Guarantors, and shall survive delivery of and payment for the Securities and any terminations of this Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">12. If this Agreement shall be
terminated pursuant to Section&nbsp;10 hereof, the Company and the Guarantors shall then not be under any liability to any Underwriter except as provided in Sections 7 and 9 hereof; but, if for any other reason any Securities are not delivered by or
on behalf of the Company as provided herein, the Company and the Guarantors, jointly and severally, will reimburse the Underwriters through you for all <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">out-of-pocket</FONT></FONT>
expenses approved in writing by you, including fees and disbursements of counsel, reasonably incurred by the Underwriters in making preparations for the purchase, sale and delivery of the Securities not so delivered, but the Company and the
Guarantors shall then be under no further liability to any Underwriter except as provided in Sections 7 and 9 hereof. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">13. In all dealings hereunder, the
Representatives shall act on behalf of each of the Underwriters, and the parties hereto shall be entitled to act and rely upon any statement, request, notice or agreement on behalf of any Underwriter made or given by the Representatives. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In accordance with the requirements of the USA Patriot Act (Title III of Pub. L. <FONT STYLE="white-space:nowrap">107-56</FONT> (signed into
law October&nbsp;26, 2001)), the Underwriters are required to obtain, verify and record information that identifies their respective clients, including the Company, which information may include the name and address of their respective clients, as
well as other information that will allow the Underwriters to properly identify their respective clients. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">All statements, requests,
notices and agreements hereunder shall be in writing, and if to the Underwriters shall be delivered or sent by mail or facsimile transmission (if applicable) to Merrill Lynch, Pierce, Fenner&nbsp;&amp; Smith Incorporated, 50 Rockefeller Plaza, New

any notice to an Underwriter pursuant to Section&nbsp;9(d) hereof shall be delivered or sent by mail, telex or facsimile transmission to such Underwriter at its address set forth in its Underwriters&#146; Questionnaire or telex constituting such
Questionnaire, which address will be supplied to the Company by you on request. Any such statements, requests, notices or agreements shall take effect upon receipt thereof. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">14. This Agreement shall be binding upon, and inure solely to the benefit of, the Underwriters, the Company and
the Guarantors and, to the extent provided in Sections 9 and 11 hereof, the officers and directors of the Company and the Guarantors and each person who controls the Company, the Guarantors or any Underwriter, and any affiliate, director and officer
of any Underwriter, and their respective heirs, executors, administrators, successors and assigns, and no other person shall acquire or have any right under or by virtue of this Agreement. No purchaser of any of the Securities from any Underwriter
shall be deemed a successor or assign by reason merely of such purchase. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">15. Time shall be of the essence of this Agreement. As used herein, the term
&#147;business day&#148; shall mean any day when the Commission&#146;s office in Washington, D.C. is open for business. Except as otherwise set forth herein, specified times of day refer to New York City time. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">16. Each of the Company and the Guarantors acknowledge and agree that (i)&nbsp;the purchase and sale of the Securities pursuant to this Agreement is an <FONT
STYLE="white-space:nowrap">arm&#146;s-length</FONT> commercial transaction between the Company and the Guarantors, on the one hand, and the several Underwriters, on the other, (ii)&nbsp;in connection therewith and with the process leading to such
transaction, each Underwriter is acting solely as a principal and not the agent or fiduciary of the Company or any Guarantor, (iii)&nbsp;no Underwriter has assumed an advisory or fiduciary responsibility in favor of the Company or any Guarantor with
respect to the offering contemplated hereby or the process leading thereto (irrespective of whether such Underwriter has advised or is currently advising the Company or any Guarantor on other matters) or any other obligation to the Company or the
Guarantors except the obligations expressly set forth in this Agreement and (iv)&nbsp;each of the Company and the Guarantors have consulted its own respective legal and financial advisors to the extent it deemed appropriate. The Company and the
Guarantors agree that they will not claim that the Underwriters, or any of them, has rendered advisory services of any nature or respect, or owes a fiduciary or similar duty to the Company or any Guarantors, in connection with such transaction or
the process leading thereto. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">17. This Agreement supersedes all prior agreements and understandings (whether written or oral) between the Company, the
Guarantors and the Underwriters, or any of them, with respect to the subject matter hereof. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">18. This Agreement and any claim, controversy or dispute
arising under or related to this Agreement shall be governed by and construed in accordance with the laws of the State of New York. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>19. THE COMPANY,
THE GUARANTORS AND EACH OF THE UNDERWRITERS HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE TRANSACTIONS
CONTEMPLATED HEREBY. </B></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">20. Any legal suit, action or proceeding arising out of or relating to this Agreement or the transactions contemplated hereby
(&#147;Related Proceedings&#148;) may be instituted in the federal courts of the United States of America located in the City and County of New York or the courts of the State of New York in each case located in the City and County of New York
(collectively, the &#147;Specified Courts&#148;), and each party irrevocably submits to the exclusive jurisdiction (except for suits, actions, or proceedings instituted in regard to the enforcement of a judgment of any Specified Court in a Related
Proceeding, as to which such jurisdiction is <FONT STYLE="white-space:nowrap">non-exclusive)</FONT> of the Specified Courts in any Related Proceeding. The parties irrevocably and unconditionally waive any objection to the laying of venue of any
Specified Proceeding in the Specified Courts and irrevocably and unconditionally waive and agree not to plead or claim in any Specified Court that any Related Proceeding brought in any Specified Court has been brought in an inconvenient forum. </P>

 <P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">This Agreement may be executed by any one or more of the parties hereto in any number of counterparts, each of
which shall be deemed to be an original, but all such counterparts shall together constitute one and the same instrument. Delivery of an executed counterpart of a signature page to this Agreement by facsimile or other electronic imaging means shall
be effective as delivery of a manually executed counterpart of this Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">21. Notwithstanding anything herein to the contrary, each of the Company
and the Guarantors are authorized to disclose to any persons the U.S. federal and state income tax treatment and tax structure of the potential transaction and all materials of any kind (including tax opinions and other tax analyses) provided to the
Company and the Guarantors or relating to that treatment and structure, without the Underwriters imposing any limitation of any kind. However, any information relating to the tax treatment and tax structure shall remain confidential (and the
foregoing sentence shall not apply) to the extent necessary to enable any person to comply with securities laws. For this purpose, &#147;tax structure&#148; is limited to any facts that may be relevant to that treatment. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">If the foregoing is in accordance with your understanding, please sign and return to us a counterpart hereof, whereupon this instrument, along
