Article IV of the corporations Restated Articles of Organization, as amended, shall be amended to include the following language as an introductory paragraph to Section I of Attachment 4:
Effective as of February 28, 2006, at 12:01 a.m. (the Effective Time), every 5 (five) shares of authorized Common Stock of the corporation, $.01 par value per share (Common Stock), issued and outstanding shall be automatically combined into 2 (two) issued and outstanding shares of Common Stock without any change in the par value of such shares. There shall be no fractional shares issued. In lieu of any fractional shares to which a stockholder of record would be entitled as a result of the combination, such stockholder shall be entitled to receive a cash amount determined as follows. The corporations transfer agent or a designated broker shall aggregate all fractional shares and sell them as soon as practicable after the Effective Time at the then prevailing prices on the open market, on behalf of those stockholders of record who would otherwise be entitled to receive a fractional share. After such sales are completed, each such stockholder entitled thereto shall receive a cash payment in an amount equal to such stockholders pro rata share of the total net proceeds of the sales. The combination shall not change the number of shares of Common Stock authorized for issuance by the corporation.
