Material Terms of Trading Arrangement   On August 8, 2023, each of Charles E. Andrews, Jr., Chief Accounting Officer, Jeffrey W. Ferguson, General Counsel, Christopher Finn, Chief Operating Officer, and Bruce M. Larson, Chief Human Resources Officer, and on September 1, 2023, Harvey M. Schwartz, Chief Executive Officer (Messrs. Andrews, Ferguson, Finn, Larson, and Schwartz, collectively, the “officers”), entered into “sell-to-cover” arrangements that constitute Rule 10b5-1 trading arrangements. Such trading arrangements authorize the sale of shares solely to satisfy the tax withholding obligations of the Company arising from the vesting of restricted stock units either previously granted to the officers under The Carlyle Group Inc. Amended and Restated 2012 Equity Incentive Plan (the “Plan”) (or, with respect to Mr. Schwartz, pursuant to the Performance-Based Restricted Stock Unit Agreement and Global Restricted Stock Unit Agreement, in each case, between Mr. Schwartz and the Company and dated February 15, 2023) or that may be granted in the future under the Plan. The trading arrangements were entered into by the officers during an open trading window and will remain active until terminated by the applicable officer. Such sell-to-cover arrangements shall be subject to the Compensation Committee’s election to require the officers to satisfy any tax withholding obligations through the withholding of shares by the Company in accordance with the terms of the Plan.
