The restricted stock units vest on February 15, 2024 and settlement into shares of CDW Corporation common stock has been deferred until the sooner of separation from service on the Board of Directors or five years following vesting.</footnote>
        <footnote id="F2">Under the terms of Mr. Nelms' Non-Executive Chair Retainer Restricted Stock Unit (RSU) Award Agreement, Mr. Nelms vested in a pro rata portion of his 2022 Chair Retainer RSU award for the period of time between the grant date and December 31, 2022, when Mr. Nelms transitioned from Non-Executive Chair of our Board to Lead Independent Director.  The remaining 131.16 RSUs from Mr. Nelms' 2022 award were cancelled for no value and his holdings reported in Column 5 have been reduced by that amount.</footnote>
