(the "Company") has authorized the amendment and restatement of the Amended and Restated Non-Qualified Supplemental Executive Retirement Plan of the Company, and approved the execution of a Second Amended and Restated Non-Qualified Supplemental Executive Retirement Plan (the "Second Restated Plan").  In connection with the approval of the Second Restated Plan, the Executive Committee also authorized the revocation of the Non-Qualified Supplemental Executive Retirement Plan Trust Agreement dated October 24, 1997 (the "Initial Trust") referenced in the Second Restated Plan, subject to restatement thereof in accordance with the provisions of the Second Restated Plan. The Company may amend this Plan at any time, including any remedial retroactive changes (within the specified period of time as may be determined by Internal Revenue Service regulations) to comply with the requirements of any law or regulation issued by any governmental agency to which the Company or this Plan is subject. A Participant or his spouse does not have any right to alienate, anticipate, commute, pledge, encumber or assign any of such benefits. If payment to a Participant of any amount that is "deferred compensation" subject to section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), at the time otherwise payable under this Plan would subject such payment to additional tax under Code section 409A(a)(1)(B), and if the payment of such amount at a later date would avoid any such additional tax, then the payment of such amount shall be deferred until the later of (i) the date of payment specified in this Plan, or (ii) the earliest date on which such payment can be paid without incurring any such additional tax.
