Hamburg, March 30, 2011 - The Management and Supervisory Boards of XING AG,
Hamburg (ISIN DE000XNG8888), have decided today to suggest paying a special
distribution of funds from capital reserves amounting to EUR20 million to
the company's shareholders at the next AGM on May 26, 2011. The payout per
share will amount to approx. EUR3.70. This move still leaves XING with
liquid assets of approx. EUR40 million, which, in combination with the
successful business model, enables the Company to further pursue its growth
strategy.
A special distribution of funds will require a nominal capital increase
from capital reserves as well as a subsequent reduction of nominal capital
in order to pay out the released funds to the shareholders. According to
the stipulations of the German Stock Corporation Act, the special
distribution may not be effected for a period of six months at the earliest
following the publication of the entry of the decision into the commercial
register.
