EXPLANATORY NOTE

This Form 6-K/A amends the report on Form 6-K filed June 2, 2010 by Brookfield Infrastructure Partners L.P. (the “Company”) for the sole purpose of incorporating by reference Exhibits 99.1 and 99.2 from this report into the Company’s F-3 Registration Statement (File No. 333-163952) that was filed with the Securities and Exchange Commission (the “Commission”) with an effective date of December 23, 2009.

This Form 6-K/A amends the five reports on Form 6-K filed on August 4, 2010, August 4, 2010, August 20, 2010, August 20, 2010 and August 23, 2010 by the Company for the sole purpose of incorporating by reference Exhibit 99.1 from each of these respective reports and Exhibit 99.2 from the report filed on August 23, 2010 into the Company’s F-3 Registration Statement (File No. 333-163952) that was filed with the Commission with an effective date of December 23, 2009 and into the Company’s F-3D Registration Statement (File No. 333-167860) that was filed with the Commission with an effective date of June 29, 2010.
