Item 8.01 Other Events

On April 8, 2010, Celsius Holdings, Inc received a material purchase order for its Celsius® product from Walmart. The Company plans to ship the order during the month of April, with the products expected to begin appearing on shelves in approximately 750 selected Walmart stores in May 2010.
