UDR, Inc. A copy of the Articles of Amendment, which became effective on the filing date of March
14, 2007, is attached hereto as Exhibit&nbsp;3.2 and is incorporated herein by reference.

the Board of Directors, a Vice Chairman of the Board of Directors and a President (all of whom
shall be directors) and a Treasurer and Secretary and may appoint one or more Vice Presidents and
such other officers or assistant officers as it may deem proper. Any officer may hold more than
one office, except for the offices of President and Vice President. A person who holds more than

the commencement of such action that indemnification of the claimant is proper in the circumstances
