<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">Failure to attain the threshold performance level with respect to any of the performance targets will result in the failure to earn any PSUs related to that target&#146;s portion of the award with respect to the related year.&#160; Attainment between the threshold and maximum performance levels with respect to any of the targets will result in earning a portion of the PSUs related to the related target&#146;s portion of the award as defined by a pre-established mathematical formula. The Committee may determine an award less than that determined by the formula but may not determine an award more than that derived by the formula.</font></p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The Committee again included a total shareholder return (&#147;TSR&#148;) metric for the PSUs which links the entire PSU payout with performance versus a performance peer group.&#160; The Committee may exercise negative discretion linked to TSR for the entire three-year performance period by up to -40%.</font></p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">&nbsp;</font></p>
<p style="margin:0in 0in .0001pt;"><font size="2" face="Times New Roman" style="font-size:10.0pt;">The Committee also approved certain changes to provisions in the award agreements for long-term incentive awards related to termination events.&#160; Awards granted on or after March&nbsp;1, 2014 will no longer have a &#147;single trigger&#148; vesting upon a change in control.&#160; Instead, awards will vest by reason of a change in control only if an involuntary termination of the executive, without cause, or a termination by the executive for good reason occurs within two years of the change in control.</font></p>
