interest on February&nbsp;3, May&nbsp;3, August&nbsp;3 and November&nbsp;3, commencing February&nbsp;3, 2004, and at maturity. The rate of interest on the floating rate notes will be reset
quarterly, as described herein. </FONT></P>

will pay interest on the 2.40% notes due November&nbsp;3, 2005 on each May&nbsp;3 and November&nbsp;3. The first interest payment will be made on May&nbsp;3, 2004. </FONT></P>

<P><FONT SIZE=2>&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;We
will pay interest on the 4.00% notes due January&nbsp;15, 2009 on each January&nbsp;15 and July&nbsp;15. The first interest payment will be made on July&nbsp;15, 2004. </FONT></P>
