<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On July&nbsp;11, 2017, HCP, Inc., a Maryland corporation (&#147;HCP&#148;), announced that its Board of Directors (&#147;the Board&#148;)
appointed Shawn G. Johnston, 38, to serve as Senior Vice President and Chief Accounting Officer, effective August&nbsp;15, 2017. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Johnston has served as Vice President&#150;Chief Accounting Officer of UDR, Inc. (&#147;UDR&#148;), a multifamily real estate
investment trust, since March 2016. He previously served as the Vice President&#150;Controller of UDR from 2013 until 2016 when he became CAO, and served as Interim Principal Financial Officer from June 2016 through December 2016. From 2010 to 2013,
Mr.&nbsp;Johnston served as Chief Accounting Officer at American Residential Communities LLC, a residential real estate company. Prior to that, he was a Senior Manager&#150;Audit Services for Ernst&nbsp;&amp; Young LLP, specializing in real estate.

connection therewith, and subject to the execution of a general release of claims against HCP and compliance with certain confidentiality, non-solicitation and non-competition restrictive covenants, Mr.&nbsp;Anderson will receive severance benefits
pursuant to the Severance Plan, which includes approximately $1.6 million in cash severance to be paid over 24 months, and a partial year bonus </P>

departure, and RSUs awarded after May&nbsp;6, 2016, will continue to vest according to their original vesting schedule for two years, and thereafter the remaining RSUs will be accelerated. Mr.&nbsp;Anderson&#146;s vested stock options will remain
exercisable for 12 months following his departure. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The material terms of the Severance Plan are described under the heading

Chief Accounting Officer, effective August&nbsp;15, 2017. Mr.&nbsp;Johnston will replace the Company&#146;s current Chief Accounting Officer, Scott Anderson, who is leaving HCP to pursue other career opportunities. Mr.&nbsp;Anderson will remain with
HCP in his current capacity through August&nbsp;17, 2017 to ensure a smooth transition and oversee the preparation of the Company&#146;s second quarter 2017 financial statements. </P>

(CAO). He joined UDR in September 2013 as Controller and served in that role until 2016 when he became CAO, and served as Interim Principal Financial Officer from June 2016 through December 2016. Prior to Mr.&nbsp;Johnston&#146;s tenure at UDR, he
served as CAO at American Residential Communities LLC, a residential real estate company. Previously, he worked at Ernst&nbsp;&amp; Young for eight years as a Certified Public Accountant. </P>
