Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed on February 28, 2019 and June 14, 2019, Michael F. Hilton, Senior Advisor and former President and Chief Executive Officer, notified the Company of his intention to retire, effective December 31, 2019. Mr. Hilton has retired effective December 31, 2019. With Mr. Hilton’s retirement, this reduces the Company’s Board of Directors from eleven members to ten. The Company does not intend to add a director to the board at this time.
