EXPLANATORY NOTE

By this Amendment No. 1, Suzano Papel e Celulose S.A. amends its report on Form 6-K furnished on March 19, 2019, which contains the below Exhibit 99.3 (the “Original Form 6-K”), solely for the purposes of adding the following changes: change in appendix i - absentee ballot template — to include a question on the instatement of the Company’s Audit Board.

This Amendment No. 1 does not modify or update the disclosure in the Original Form 6-K, including with respect to forward-looking statements, in any way, other than as indicated above.
