to the Board of Directors (the &#147;Board&#148;) of Allegheny Technologies Incorporated (the &#147;Company&#148;) as a Class III director, effective immediately, in connection with the Board increasing the number of directors constituting the Board
from ten to eleven. Effective as of the same date, the Board appointed Mr.&nbsp;Morehouse to serve on the Audit Committee and the Technology Committee of the Board. Mr.&nbsp;Morehouse will stand for election at the Company&#146;s 2015 Annual Meeting
of Stockholders. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">The Board has determined that Mr.&nbsp;Morehouse is an independent director under applicable New York Stock Exchange
listing requirements and the Company&#146;s categorical Board independence standards, which are set forth in the Company&#146;s Corporate Governance Guidelines. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">As a non-employee director of the Board, Mr.&nbsp;Morehouse will receive the standard compensation paid to non-employee directors for service
on the Board. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Louis J. Thomas, a Class III director, currently is the director designated by the United Steelworkers (&#147;USW&#148;)
pursuant to the Company&#146;s collective bargaining agreement with the USW whereby the International President of the USW can propose to the Company&#146;s Chairman a nominee for director. Upon the retirement of Mr.&nbsp;Thomas from the Board at
the completion of his current term at the Company&#146;s 2017 Annual Meeting of Stockholders in accordance with the Company&#146;s mandatory retirement policy for directors, or his earlier departure from the Board, Mr.&nbsp;Morehouse will become the
USW-designated director. There were no other arrangements or understandings between Mr.&nbsp;Morehouse and any other person pursuant to which Mr.&nbsp;Morehouse was elected as a director. There are and have been no transactions since the beginning
of the Company&#146;s last fiscal year, or that are currently proposed, regarding Mr.&nbsp;Morehouse that are required to be disclosed by Item&nbsp;404(a) of Regulation S-K. </P>

2015, the Personnel and Compensation Committee (the &#147;Committee&#148;) of the Board took a number of actions concerning base compensation for 2015 and incentive opportunities for performance measurement periods beginning in 2015. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">The Committee increased base salaries and set aggregate incentive compensation opportunities for the named executive officers at levels that
approximate the median for the peer group used for compensation benchmarking purposes, as determined by the Committee&#146;s compensation consultant. All long-term incentive grants for the 2015-2017 performance measurement period are equity-based,
and payouts will be pro-rated at the end of the performance measurement period if a participant retires during that time (as defined in the plans). For the CEO, approximately 65% of aggregate compensation opportunities are in the form of equity and
84% are performance-based at grant. </P>

ATI Board of Directors. His&nbsp;election increases the number of directors to eleven. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">Mr.&nbsp;Morehouse, 54, is Chief Executive Officer and President
of Pittsburgh Penguins LLC, which owns and operates the Pittsburgh Penguins National Hockey League team. He was named President of the Pittsburgh Penguins in April 2007 and has also served as Chief Executive Officer since September 2010. He joined
the Pittsburgh Penguins in 2004 as a consultant for special projects, including the team&#146;s new arena. Prior to joining the Pittsburgh Penguins, Mr.&nbsp;Morehouse worked on several presidential political campaigns and held positions in the
White House and the Pentagon. Mr.&nbsp;Morehouse started his career as a boilermaker before attending the Community College of Allegheny County and Duquesne University. He holds a Master&#146;s Degree in Public Administration from Harvard
