| "Redmile Group, LLC (the “Group”) has participated in the directed share issue in Hansa Biopharma AB (the “Issuer”) announced by the Issuer on 12 April 2024 by way of press release. The Group acquired, indirectly through its funds, 2,556,000 new ordinary shares in the directed share issue and the Group’s total number of shares in the Issuer after the directed share issue is 12,209,214 ordinary shares.
In addition to ordinary shares in the Issuer, the Group indirectly holds cash settled swaps according to FITA Ch. 4, section 2, first paragraph, line 3 (Sw. lag (1991:980) om handel med finansiella instrument) which relate to 947,470 underlying ordinary shares in the Issuer. Taking into account the underlying ordinary shares of the cash settled swaps, the Group’s aggregate number of ordinary shares is 13,156,684.
Due to the directed share issue and based on the Issuer new number of total shares after the First Tranche of the directed share issue, the Group’s percentage of total shares, taking into account the underlying ordinary shares of the cash settled swaps, has changed from 19.26198% to 20.08379%.
This notification is filed since the Group’s aggregate percentage of total shares in the Issuer has exceeded the 20% threshold following the directed share issue."
The changes are due to both acquisition and corporate action. |
