      On January 10, 2018, Terry Bayer, the chief operating officer of Molina
      Healthcare, Inc. (the&#160;&#8220;Company&#8221;), notified the Company of her intent to
      retire from her position in the next several weeks. Following Ms.
      Bayer&#8217;s departure, the corporate chief operating officer role will no
      longer be a part of the Company&#8217;s organizational structure. The terms of
      Ms. Bayer&#8217;s retirement arrangement with the Company, including the
      effective date of her retirement, will be disclosed in an amendment to
      this Current Report on Form 8-K once an agreement has been reached
      between the parties.
