<P STYLE="margin-top:0pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman"><B>and Item 8.01 Other Events. </B></P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On
December&nbsp;18, 2013, The AES Corporation (the &#147;Company&#148;) closed its previously announced repurchase of 20,000,000 shares of the Company&#146;s common stock from Terrific Investment Corporation (the &#147;Selling Stockholder&#148;), a
subsidiary controlled by China Investment Corporation, at a price per share of $12.912, for an aggregate purchase price of $258,240,000. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In addition, the Company announced the closing of the previously announced underwritten secondary public offering (the &#147;Offering&#148;)
of 46,000,000 shares (the &#147;Offered Shares&#148;) of the Company&#146;s common stock by the Selling Stockholder at a price of $13.45 per share. The Offered Shares include the full exercise of the Underwriters&#146; (as defined below) option to
purchase up to 6,000,000 additional shares of the Company&#146;s common stock to cover over-allotments, which option was exercised in full by the Underwriters on December&nbsp;13, 2013. The Company will not receive any proceeds from the sale of the
Offered Shares in the Offering. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Offered Shares were sold under an underwriting agreement (the &#147;Underwriting Agreement&#148;)
entered into by the Company with the Selling Stockholder and Barclays Capital Inc. and J.P. Morgan Securities LLC, as representatives of the several underwriters named therein (the &#147;Underwriters&#148;), pursuant to which the Selling Stockholder
agreed to sell to the Underwriters and the Underwriters agreed to purchase, severally and not jointly, from the Selling Stockholder, the Offered Shares. </P>

<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">As disclosed in the Company&#146;s 2012 Annual Report on Form 10-K and prospectus filed on December 13, 2013 in connection with the Offering,
the Brazilian regulator (ANEEL) has challenged the parameters of a tariff reset for Eletropaulo which was implemented in July 2012 and retroactive to 2011. ANEEL alleges that during the period between 2007-2011, certain assets that were included in
the shielded regulatory asset base should not have been included and that Eletropaulo should refund customers for the return on the disputed assets that were earned during this period. AES owns 16% of the economic interest in Eletropaulo.&nbsp;On
December 17, 2013, ANEEL determined (at the administrative level) that adjustments to the shielded regulatory asset base should be made and that Eletropaulo should refund customers in the amount of $272 million made during the period from 2007 to
2011, which refund should be made over a period of up to four years beginning in 2014.&nbsp;The foregoing discussion is subject to Eletropaulo receiving a written order from ANEEL, which is expected in the next several weeks. Eletropaulo believes it
has meritorious arguments in this matter and that no adjustments to the shielded regulatory asset base are necessary.&nbsp;Eletropaulo intends to file an action in the Brazilian courts seeking to suspend or overturn ANEEL&#146;s administrative
decision, while the merits of the case are litigated in the Brazilian courts.</P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">If Eletropaulo is not successful in suspending or
overturning ANEEL&#146;s administrative decision, Eletropaulo will continue to argue the merits of the case in the Brazilian courts. However, in 2013, it is possible the Company may recognize a one-time pre-tax expense for up to $272 million, which
translates to $44 million on an ownership adjusted basis (based on AES&#146; 16% ownership in Eletropaulo), or approximately $0.03- $0.04 Adjusted Earnings per Share (Adjusted EPS, a non-GAAP financial measure). The refund to customers would be paid
up to a period of four years starting from July 2014. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">We define adjusted EPS as diluted earnings per share from continuing operations

corporation incorporated under the laws of the People&#146;s Republic of China, a subsidiary controlled by China Investment Corporation (&#147;<B>CIC</B>&#148;) and a stockholder of The AES Corporation, a Delaware corporation (the
&#147;<B>Company</B>&#148;), proposes to sell to the several underwriters named on Schedule&nbsp;A hereto (the &#147;<B>Underwriters</B>&#148;), for whom you (the &#147;<B>Representatives</B>&#148;) are acting as representatives, an aggregate of
40,000,000 shares (the &#147;<B>Firm Stock</B>&#148;) of common stock (the &#147;<B>Common Stock</B>&#148;), par value $0.01 per share, of the Company. In addition, the Selling Stockholder proposes to grant to the Underwriters an option to purchase
up to an aggregate of 6,000,000 additional shares (the &#147;<B>Option Stock</B>&#148;) of the Company&#146;s Common Stock solely to cover <FONT STYLE="white-space:nowrap">over-allotments,</FONT> if any. The Firm Stock and the Option Stock, if
purchased, are hereinafter collectively called the &#147;<B>Stock</B>.&#148; The use of the neuter in this Underwriting Agreement (the &#147;<B>Agreement</B>&#148;) shall include the feminine and masculine wherever appropriate. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In connection with the offering of the Stock, the Company has entered into an agreement with the Selling Stockholder, dated as of
December&nbsp;11, 2013 (the &#147;<B>Stock Repurchase Agreement</B>&#148;), pursuant to which the Company has agreed to repurchase from the Selling Stockholder on the Closing Date (as defined herein) in a private,
<FONT STYLE="white-space:nowrap">non-underwritten</FONT> transaction, 20,000,000 shares of the Company&#146;s Common Stock (the &#147;<B>Concurrent Stock Repurchase</B>&#148;) at a price per share of $12.912. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">The Concurrent Stock Repurchase is conditioned upon the consummation of the offering of the Stock pursuant to this Agreement and the other
terms and conditions set forth in the Stock Repurchase Agreement. The closing of the offering of the Stock is not contingent on the closing of the Concurrent Stock Repurchase. </P>

contains a base prospectus (the &#147;<B>Base Prospectus</B>&#148;), to be used in connection with the public offering and sale of the Company&#146;s Common Stock, including the Stock to be sold pursuant to this Agreement. Such registration
statement, as amended, including the financial statements, exhibits and schedules thereto, at each time of effectiveness under the Securities Act of 1933, as amended, and the rules and regulations promulgated thereunder (collectively, the
&#147;<B>Securities Act</B>&#148;), including any required information deemed to be a part thereof at the time of effectiveness pursuant to Rule&nbsp;430B or 430C under the Securities Act or the Securities Exchange Act of 1934, as amended, and the

rules and regulations thereunder and any related or similar rules, regulations or guidelines, issued, administered or enforced by any governmental agency (collectively, the &#147;<B><FONT STYLE="white-space:nowrap">Anti-Money</FONT> Laundering

has not prepared or had prepared on its behalf or used or referred to or distributed, any &#147;free writing prospectus&#148; (as defined in Rule&nbsp;405), or any other written materials in connection with the offer or sale of the Stock. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) <I>Valid Title</I>. The Selling Stockholder has, and at the Closing Date will have, valid title to, or a valid
&#147;security entitlement&#148; within the meaning of <FONT STYLE="white-space:nowrap">Section&nbsp;8-501</FONT> of the New York Uniform Commercial Code (the &#147;<B>UCC</B>&#148;) in respect of, the Stock to be delivered by the Selling
Stockholder at such time or on such date free and clear of all security interests, claims, liens, equities or other encumbrances. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(d) <I>Absence of Manipulation</I>. The Selling Stockholder has not taken, directly or indirectly, any action designed to cause
or which has constituted or which might reasonably be expected to cause or result, under the Exchange Act or otherwise, in the stabilization or manipulation of the price of any security of the Company to facilitate the sale or resale of the Stock or
in violation of Regulation&nbsp;M under the Exchange Act. </P>

when such payment, delivery (if necessary) and crediting occur, (I)&nbsp;such Stock will have been registered in the name of Cede or another nominee designated by DTC, in each case on the Company&#146;s share registry in accordance with its
certificate of incorporation, bylaws and applicable law, (II)&nbsp;DTC will be registered as a &#147;clearing corporation,&#148; within the meaning of <FONT STYLE="white-space:nowrap">Section&nbsp;8-102</FONT> of the UCC, (III)&nbsp;appropriate
entries to the accounts of the several Underwriters on the records of DTC will have been made pursuant to the UCC, (IV)&nbsp;to the extent DTC, or any other securities intermediary which acts as &#147;clearing corporation&#148; with respect to the
Stock, maintains any &#147;financial asset&#148; (as defined in <FONT STYLE="white-space:nowrap">Section&nbsp;8-102(a)(9)</FONT> of the UCC) in a clearing corporation pursuant to <FONT STYLE="white-space:nowrap">Section&nbsp;8-111</FONT> of the UCC,
the rules of such clearing corporation may affect the rights of DTC or such securities intermediaries and the ownership interest of the Underwriters, (V)&nbsp;claims of creditors of DTC or any other securities intermediary or clearing corporation
may be given priority to the extent set forth in <FONT STYLE="white-space:nowrap">Section&nbsp;8-511(b)</FONT> and <FONT STYLE="white-space:nowrap">8-511(c)</FONT> of the UCC and (VI)&nbsp;if at any time DTC or any other securities intermediary does
not have sufficient Stock to satisfy claims of all of its entitlement holders with respect thereto then all holders will share pro rata in the Stock then held by DTC or such securities intermediary. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(f) <I>The Underwriting Agreement</I>. This Agreement has been duly authorized, executed and delivered by the Selling

execute and deliver the Stock Repurchase Agreement and the Stock Repurchase Agreement has been duly authorized, executed and delivered by the Selling Stockholder and remains in full force and effect in all material respects and constitutes a valid
and binding agreement of the Selling Stockholder enforceable in accordance with its terms, except to the extent that enforcement thereof may be limited by bankruptcy, insolvency, reorganization or other laws affecting enforcement of creditors&#146;
rights or by general equitable principles. </P>

of association, certificate of incorporation, bylaws or other constituent documents of the Selling Stockholder, or (ii)&nbsp;any agreement or other instrument binding upon the Selling Stockholder or (iii)&nbsp;any applicable law, judgment, order or
decree of any governmental body, agency or court having jurisdiction over the Selling Stockholder, except in the case of clause&nbsp;(ii) and (iii), in each case, as would not singly or in the aggregate result in a material adverse effect on the
ability of the Selling Stockholder to perform its obligations hereunder and thereunder. No consent, approval, authorization or order of, or qualification with, any governmental body or agency is required for the performance by the Selling
Stockholder of its obligations under this Agreement, except such as have been already obtained or made under the Securities Act or otherwise or as may be required by (i)&nbsp;the securities or blue sky laws of the various states in connection with
the offer and sale of the Stock and (ii)&nbsp;the Exchange Act. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(i) <I>Incorporation and Good Standing of the Selling
Stockholder</I>. The Selling Stockholder has been duly organized and is validly existing and in good standing under the law of its jurisdiction of its organization and has all necessary power and authority to enter into this Agreement, to carry out
its obligations hereunder and thereunder, and to consummate the transactions contemplated hereby and thereby. The Selling Stockholder is a subsidiary controlled by CIC. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(j) <I>No Additional Information</I>. The Selling Stockholder is not prompted to sell shares of Stock by any information
concerning the Company that is not set forth in the Registration Statement, the Disclosure Package and the Prospectus. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Any certificate
signed by any officer of the Selling Stockholder and delivered to the Representatives of the Underwriters or counsel for the Underwriters in connection with the offering and sale of the Stock shall be deemed a representation and warranty by the
Selling Stockholder as to matters covered thereby, to each Underwriter. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">3. <U>Purchase and Sale</U>. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) <I>Firm Stock</I>. Subject to the terms and conditions and in reliance upon the representations and warranties herein set
forth, the Selling Stockholder agrees to sell to each Underwriter, and each Underwriter agrees, severally and not jointly, to purchase from the Selling Stockholder, at $13.181 a share (the &#147;<B>Purchase Price</B>&#148;) the number of shares of
Firm Stock set forth opposite such Underwriter&#146;s name in Schedule&nbsp;A hereto. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) <I>Option Stock</I>. In
addition, subject to the terms and conditions and in reliance upon the representations and warranties herein set forth, the Selling Stockholder hereby grants an option to the Underwriters to purchase, severally and not jointly, up to an additional
6,000,000 shares of Option Stock, at the Purchase Price. The option hereby granted may be exercised for 30 days beginning on the date hereof and may be exercised in whole or in part at any time upon notice by the Representatives to the Selling

shares of Firm Stock set forth in Schedule&nbsp;A hereto opposite the name of such Underwriter bears to the total number of shares of Firm Stock, subject, in each case, to such adjustments as the Representatives in their absolute discretion shall
make to eliminate any sales or purchases of fractional shares of Stock. Option Stock may be purchased as provided in Section&nbsp;4(b) below solely for the purpose of covering <FONT STYLE="white-space:nowrap">over-allotments</FONT> made in
connection with the offering of the Firm Stock. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">4. <U>Delivery and Payment</U> </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) <I>Delivery and Payment of Firm Stock</I>. Delivery of and payment for the Firm Stock shall be made at 10:00 A.M., New York
City time, on December&nbsp;18, 2013, which date and time may be postponed by agreement among the Underwriters, the Selling Stockholder and the Company or as provided in Section&nbsp;11 hereof (such date and time of delivery and payment for the Firm
Stock being herein called the &#147;<B>Closing Date</B>&#148;). Delivery of the Firm Stock shall be made to the Underwriters for their respective accounts against payment by the several Underwriters of the Purchase Price thereof to or upon the order
of the Selling Stockholder by wire transfer payable in <FONT STYLE="white-space:nowrap">same-day</FONT> funds to the account specified by the Selling Stockholder. Delivery of the Firm Stock shall be made through the facilities of the DTC unless the
Representatives shall otherwise instruct. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) <I>Delivery and Payment of Option Stock</I>. Delivery of and payment for the
Option Stock, if purchased, shall be made at such time and date of delivery (the &#147;<B>Date of Delivery</B>&#148;) which shall be determined by the Representatives, but shall not be sooner than two business days nor later than five business days
after the Representatives exercises its option to purchase Option Stock, nor in any event prior to the Closing Date, provided that there shall not be more than one Date of Delivery in addition to the Closing Date. In addition, in the event that any
or all of the shares of Option Stock are purchased by the Underwriters, payment of the Purchase Price for, and delivery of, such Option Stock shall be made in the <FONT STYLE="white-space:nowrap">above-mentioned</FONT> manner. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) <I>Public Offering of the Stock</I>. The Representatives hereby advise the Company and the Selling Stockholder that the
Underwriters intend to offer for sale to the public, as described in the Disclosure Package and the Prospectus, their respective portions of the Stock as soon after this Agreement has been executed as the Representatives, in their sole judgment,
have determined is advisable and practicable. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(d) <I>Delivery of Prospectus to the Underwriters</I>. Not later than
10:00&nbsp;a.m. on the second business day following the date the Stock is first released by the Underwriters for sale to the public, the Company shall deliver or cause to be delivered, copies of the Prospectus in such quantities and at such places
as the Representatives shall reasonably request. </P>

ending on the later of the Closing Date or such date, as in the opinion of counsel for the Underwriters, the Prospectus is no longer required by law to be delivered in connection with sales by an Underwriter or dealer, including in circumstances
where such requirement may be satisfied pursuant to Rule&nbsp;172 (the &#147;<B>Prospectus Delivery Period</B>&#148;), prior to amending or supplementing the Registration Statement, the Disclosure Package or the Prospectus, the Company shall furnish
to the Representatives for review a copy of each such proposed amendment or supplement, and the Company shall not file or use any such proposed amendment or supplement to which the Representatives reasonably object. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) <I>Securities Act Compliance</I>. After the date of this Agreement and during the Prospectus Delivery Period, the Company
shall promptly advise the Representatives in writing (i)&nbsp;when the Registration Statement, if not effective at the Applicable Time, shall have become effective, (ii)&nbsp;of the receipt of any comments of, or requests for additional or
supplemental information from, the Commission, (iii)&nbsp;of the time and date of any filing of any <FONT STYLE="white-space:nowrap">post-effective</FONT> amendment to the Registration Statement or any amendment or supplement to any Preliminary
Prospectus or the Prospectus, (iv)&nbsp;of the time and date that any <FONT STYLE="white-space:nowrap">post-effective</FONT> amendment to the Registration Statement becomes effective, and (v)&nbsp;of the issuance by the Commission of any stop order
suspending the effectiveness of the Registration Statement or of any order or notice preventing or suspending the use of the Registration Statement, any Preliminary Prospectus or the Prospectus, or of any receipt by the Company of any notification
with respect to the suspension of the qualification of the Stock for sale in any jurisdiction or of the threatening or initiation of any proceedings for any of such purposes (including any notice or order pursuant to Section&nbsp;8A or
Rule&nbsp;401(g)(2) of the Securities Act). The Company shall use commercially reasonable efforts to prevent the issuance of any such stop order or notice of prevention or suspension of such use. If the Commission shall enter any such stop order or
issue any such notice at any time, the Company will use commercially reasonable efforts to obtain the lifting or reversal of such order or notice at the earliest possible moment, or, subject to Section&nbsp;5(a), will file an amendment to the
Registration Statement or will file a new registration statement and use its best efforts to have such amendment or new registration statement declared effective as soon as practicable. Additionally, the Company agrees that it shall comply with the
provisions of Rules 424(b) and 430B, as applicable, under the Securities Act, including with respect to the timely filing of documents thereunder, and will use commercially reasonable efforts to confirm that any filings made by the Company under

any general consent to service of process in any such jurisdiction or (iii)&nbsp;subject itself to taxation in any such jurisdiction if it is not otherwise so subject. The Company will advise the Representatives promptly of the suspension of the
qualification or registration of (or any such exemption relating to) the Stock for offering, sale or trading in any jurisdiction or any initiation or threat of any proceeding for any such purpose, and in the event of the issuance of any order
suspending such qualification, registration or exemption, the Company shall use their best efforts to obtain the withdrawal thereof at the earliest possible moment. </P>

filing or report regarding such transfers during the TIC <FONT STYLE="white-space:nowrap">Lock-Up</FONT> Period, (ii)&nbsp;to the Company, pursuant to any right or obligation of the Company to repurchase shares from the Selling Stockholder,
including the Concurrent Stock Repurchase, or (iii)&nbsp;to the Selling Stockholder&#146;s direct or indirect affiliates (as defined in Rule <FONT STYLE="white-space:nowrap">12b-2</FONT> of the Exchange Act), including, without limitation, its

by the Underwriters (including, without limitation, the cost of preparing, printing and mailing preliminary and final blue sky or legal investment memoranda), provided that such fees and expenses shall not exceed $25,000 in the aggregate,
(v)&nbsp;the fees and expenses of any transfer agent or registrar for the Stock, (vi)&nbsp;the filing fees, if any, for FINRA&#146;s review of the offering of the Stock, and the reasonable fees and disbursements of counsel to the Underwriters in

Section&nbsp;10 and Section&nbsp;13 hereof, the Underwriters will pay all of their own costs and expenses, including the fees and expenses of their counsel. The provision of this Section&nbsp;shall not affect any agreement the Company and the

(y)&nbsp;the representations and warranties of the Company in this Agreement are true and correct in all material respects on and as of the Closing Date with the same effect as if made on the Closing Date, and the Company has complied with all the
agreements hereunder and satisfied all the conditions on its part to be performed or satisfied hereunder at or prior to the Closing Date. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) <I>Accountants&#146; Comfort Letter for the Company</I>. On the date hereof, the Underwriters shall have received from

or refusal on the part of the Company or the Selling Stockholder to comply with the terms or to fulfill any of the conditions of this Agreement, the responsible party will reimburse the Underwriters severally on demand for all <FONT
STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">out-of-pocket</FONT></FONT> expenses (including reasonable fees and disbursements of counsel) that shall have been incurred by them in connection with the proposed purchase and sale of the
Stock. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">10. <U>Indemnification and Contribution</U>. </P>

(i)&nbsp;upon any untrue statement or alleged untrue statement of a material fact contained in the Registration Statement, or any amendment thereto, including any information deemed to be a part thereof pursuant to Rule&nbsp;430B or 430C under the
Securities Act, or the omission or alleged omission therefrom of a material fact required to be stated therein or necessary to make the statements therein not misleading; or (ii)&nbsp;upon any untrue statement or alleged untrue statement of a
material fact contained in any Issuer Free Writing Prospectus, any Preliminary Prospectus or the Prospectus (or any amendment or supplement thereto), or the omission or alleged omission therefrom of a material fact, in each case, necessary in order
to make the statements therein, in the light of the circumstances under which they were made, not misleading, and to reimburse each Underwriter, its officers, directors, employees, affiliates, agents and each such controlling person for any and all
expenses (including, subject to Section&nbsp;10(c), the fees and disbursements of counsel chosen by Barclays Capital Inc.) as such expenses are reasonably incurred by such Underwriter or its officers, directors, employees, agents and affiliates or
such controlling person in connection with investigating, defending, settling, compromising or paying any such loss, claim, damage, liability, expense or action; <I>provided</I>, <I>however</I>, that the foregoing indemnity agreement shall not apply
to any loss, claim, damage, liability or expense to the extent, but only to the extent, arising out of or based upon any untrue statement or alleged untrue statement or omission or alleged omission made in reliance upon and in conformity with
written information furnished to the Company by the Representatives expressly for use in the Registration Statement, any Issuer Free Writing Prospectus, any Preliminary Prospectus or the Prospectus (or any amendment or supplement thereto). The

damage, liability or expense, as incurred, to which such Underwriter or such controlling person may become subject, insofar as such loss, claim, damage, liability or expense (or actions in respect thereof as contemplated below) arises out of or is
based (i)&nbsp;upon any untrue statement or alleged untrue statement of a material fact contained in the Registration Statement, or any amendment thereto, including any information deemed to be a part thereof pursuant to Rule&nbsp;430B or 430C under

to make the statements therein, in the light of the circumstances under which they were made, not misleading, and to reimburse each Underwriter, its officers, directors, employees, affiliates, agents and each such controlling person for any and all
expenses (including, subject to Section&nbsp;10(c), the fees and disbursements of counsel chosen by Barclays Capital Inc.) as such expenses are reasonably incurred by such Underwriter, or its officers, directors, employees, agents and affiliates or
such controlling person in connection with investigating, defending, settling, compromising or paying any such loss, claim, damage, liability, expense or action; <I>provided, however</I>, that the foregoing indemnity agreement shall only apply to
any loss, claim, damage, liability or expense to the extent, but only to the extent, arising out of or based on any untrue statement or alleged untrue statement or omission or alleged omission made in reliance upon and in conformity with the Selling
Stockholder Information. The liability of the Selling Stockholder under the indemnity agreement contained in this paragraph shall be limited to an amount equal to the total net proceeds (after underwriting commissions and discounts but before
deducting expenses) from the offering of the shares of the Stock purchased under the Agreement received by the Selling Stockholder, as set forth in the table on the cover page of the Prospectus. The indemnity agreement set forth in this

offering of the Stock pursuant to this Agreement (after underwriting commissions and discounts but before deducting expenses) received by the Company and the Selling Stockholder, as applicable, and the total underwriting discount received by the
Underwriters, in each case as set forth on the front cover page of the Prospectus bear to the aggregate public offering price of the Stock as set forth on such cover. The relative fault of the Company or the Selling Stockholder, on the one hand, and
the Underwriters, on the other hand, shall be determined by reference to, among other things, whether any such untrue or alleged untrue statement of a material fact or omission or alleged omission to state a material fact or any such inaccurate or
alleged inaccurate representation or warranty relates to information supplied by the Company or the Selling Stockholder, on the one hand, or the Underwriters, on the other hand, and the parties&#146; relative intent, knowledge, access to information
and opportunity to correct or prevent such statement or omission. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">The amount paid or payable by a party as a result of the
losses, claims, damages, liabilities and expenses referred to above shall be deemed to include, subject to the limitations set forth in Section&nbsp;10(d), any legal or other fees or disbursements reasonably incurred by such party in connection with
investigating or defending any action or claim. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">The Company, the Selling Stockholder and the Underwriters agree that it

take account of the equitable considerations referred to in this Section&nbsp;10(f). </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">Notwithstanding the provisions of
this Section&nbsp;10(f), no Underwriter shall be required to contribute any amount in excess of the underwriting commissions received by such Underwriter in connection with the Stock underwritten by it and distributed to the public. No person guilty
of fraudulent misrepresentation (within the meaning of Section&nbsp;11(f) of the Securities Act) shall be entitled to contribution from any person who was not guilty of such fraudulent misrepresentation. The Underwriters&#146; obligations to
contribute pursuant to this Section&nbsp;10(f) are several, and not joint, in proportion to their respective underwriting commitments as set forth opposite their names in Schedule&nbsp;A. For purposes of this Section&nbsp;10(f), each director,
officer, employee and agent of an Underwriter and each person, if any, who controls an Underwriter within the meaning of the Securities Act and the Exchange Act shall have the same rights to contribution as such Underwriter, and each director,
officer, employee, and agent of the Company or the Selling Stockholder and each person, if any, who controls the Company or the Selling Stockholder within the meaning of the Securities Act and the Exchange Act, in each case, to the extent that such
person would be entitled to indemnification pursuant to this Section&nbsp;10, shall have the same rights to contribution as the Company or the Selling Stockholder, as the case may be. </P>

shall fail to purchase and pay for any of the Stock agreed to be purchased by such Underwriter hereunder and such failure to purchase shall constitute a default in the performance of its or their obligations under this Agreement, the remaining
Underwriters shall be obligated severally to take up and pay for (in the respective proportions which the number of shares of the Stock set forth opposite their names in Schedule&nbsp;A hereto bears to the aggregate number of shares of the Stock set
forth opposite the names of all the remaining Underwriters) the Stock which the defaulting Underwriter or Underwriters agreed but failed to purchase; <I>provided</I>, <I>however</I>, that in the event that the aggregate number of shares of the Stock
which the defaulting Underwriter or Underwriters agreed but failed to purchase shall exceed 10% of the aggregate number of shares of the Stock agreed to be purchased on the Closing Date or the Date of Delivery, as the case may be, the remaining
Underwriters shall have the right to purchase all, but shall not be under any obligation to purchase any, of the Stock, and if such nondefaulting Underwriters do not purchase all the Stock, this Agreement or, with respect to the Date of Delivery,
the obligation of the Underwriters to purchase, and the Selling Stockholder to sell, the Option Stock to be purchased and sold on such Date of Delivery, will terminate without liability to any nondefaulting Underwriter, the Selling Stockholder or
the Company, except that the provisions of Sections&nbsp;7,&nbsp;9, 10, 14, 15, 16, 17 and 22 shall at all times be effective and shall survive such termination. In the event of a default by any Underwriter as set forth in this Section&nbsp;11 which
does not result in a termination of this Agreement or, in the case of the Date of Delivery, which does not result in a termination of the obligation of the Underwriters to purchase, and the Selling Stockholder to sell, the relevant Option Stock, as
the case may be, the Closing Date or the Date of Delivery, as the case may be, shall be postponed for such period, not exceeding five business days, as the Underwriters shall determine in order that the required changes to the Registration
Statement, any Issuer Free Writing Prospectus, the Preliminary Prospectus or the Prospectus or any other documents or arrangements may be effected. Nothing contained in this Agreement shall relieve any defaulting Underwriter of its liability, if
any, to the Company, the Selling Stockholder or any nondefaulting Underwriter for damages occasioned by its default hereunder. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">12.
<U>Default by the Selling Stockholder</U>. If the Selling Stockholder shall fail at the Closing Date to sell and deliver the number of shares of Stock which the Selling Stockholder is obligated to sell hereunder, other than by reason of a default or
breach by any Underwriter, then the Underwriters may, at the option of the Representatives, by notice from the Representatives to the Selling Stockholder, terminate this Agreement without any liability on the part of any <FONT
STYLE="white-space:nowrap">non-defaulting</FONT> party except that the provisions of Sections&nbsp;2, 7, 9, 10, 14, 15, 16, 17 and 22 hereof shall remain in full force and effect. No action taken pursuant to this Section&nbsp;12 shall relieve the
Selling Stockholder so defaulting from its liability, if any, to the Company and any Underwriter for damages occasioned by its default hereunder. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In the event of a default by the Selling Stockholder as referred to in this Section&nbsp;12, each of the Representatives and the Company shall
have the right to postpone the Closing Date for a period not exceeding seven days in order to effect any required change in the Registration Statement, the Disclosure Package or the Prospectus or in any other documents or arrangements. </P>

authorities; or (iii)&nbsp;there shall have occurred any outbreak or escalation of hostilities, declaration by the United States of a national emergency or war or other calamity or crisis the effect of which on financial markets is such as to make
it, in the reasonable judgment of the Underwriters, impracticable or inadvisable to proceed with the offering, sale or delivery of the Stock as contemplated by the Prospectus and the Disclosure Package (exclusive of any amendment or supplement
thereto). Any termination pursuant to this Section&nbsp;13 shall be without liability on the part of (a)&nbsp;the Company to any Underwriter, except that the Company shall be obligated to reimburse the expenses of the Representatives and the

payment for the Stock. The provisions of Sections&nbsp;9 and 10 hereof shall survive the termination or cancellation of this Agreement. </P>

the transactions contemplated hereby, the Company and the Selling Stockholder (and each employee, representative or other agent of the Company or the Selling Stockholder) may disclose to any and all persons, without limitation of any kind, the tax
treatment and tax structure of the transactions contemplated by this Agreement and all materials of any kind (including opinions or other tax analyses) that are provided to the Company or the Selling Stockholder relating to such tax treatment and
tax structure. For purposes of the foregoing, the term &#147;tax treatment&#148; is the purported or claimed federal income tax treatment of the transactions contemplated hereby, and the term &#147;tax structure&#148; includes any fact that may be
relevant to understanding the purported or claimed federal income tax treatment of the transactions contemplated hereby. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">20. <U>No
Advisory or Fiduciary Relationship</U>. The Company and the Selling Stockholder acknowledge and agree that (a)&nbsp;the purchase and sale of the Stock pursuant to this Agreement, including the determination of the public offering price of the Stock
and any related discounts and commissions, is an <FONT STYLE="white-space:nowrap">arm&#146;s-length</FONT> commercial transaction between the Company and the Selling Stockholder, on the one hand, and the several Underwriters, on the other hand,
(b)&nbsp;in connection with the offering contemplated hereby and the process leading to such transaction each Underwriter is and has been acting solely as a principal and is not the agent or fiduciary of the Company, the Selling Stockholder or their
stockholders, creditors, employees or any other party, (c)&nbsp;no Underwriter has assumed or will assume an advisory or fiduciary responsibility in favor of the Company with respect to the offering contemplated hereby or the process leading thereto
(irrespective of whether such Underwriter has advised or is currently advising the Company or the Selling Stockholder on other matters) and no Underwriter has any obligation to the Company or the Selling Stockholder with respect to the offering
contemplated hereby except the obligations expressly set forth in this Agreement, (d)&nbsp;the Underwriters and their respective affiliates may be engaged in a broad range of transactions that involve interests that differ from those of the Company
and/or the Selling Stockholder, and (e)&nbsp;the Underwriters have not provided any legal, accounting, regulatory or tax advice with respect to the offering contemplated hereby and the Company and the Selling Stockholder each has consulted its own
legal, accounting, regulatory and tax advisors to the extent it deemed appropriate. For the avoidance of doubt, this Section&nbsp;20 shall not limit the obligations that the several Underwriters may have other than in connection with this offering.

or provision of this Agreement shall not affect the validity or enforceability of any other Section, paragraph or provision hereof. If any Section, paragraph or provision of this Agreement is for any reason determined to be invalid or unenforceable,
there shall be deemed to be made such minor changes (and only such minor changes) as are necessary to make it valid and enforceable. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">22.
<U>Dispute Resolution</U>. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) Subject to clause (b)&nbsp;below, any and all disputes arising out of, in relation to, or
in connection with this Agreement between the Company or the Underwriters, on the one hand, and the Selling Stockholder, on the other hand, shall be resolved through arbitration conducted in accordance with the Commercial Rules of Arbitration of the
American Arbitration Association (the &#147;Rules&#148;).&nbsp;The arbitration shall be conducted by three arbitrators.&nbsp;Each party shall appoint one arbitrator in accordance with the Rules.&nbsp;The two party-appointed arbitrators shall appoint
a third arbitrator, who shall serve as the Chair of the tribunal.&nbsp;In the event either party fails to appoint an arbitrator, or in the event the two party-appointed arbitrators fail to appoint a third arbitrator, the appointment(s) shall be made
by the American Arbitration Association.&nbsp;The seat of arbitration shall be New York.&nbsp;The language of the arbitration shall be English.&nbsp;Each of the parties hereto agrees that any award of the tribunal shall be final and binding upon
parties to the arbitration, and that any party may enforce the award in any court of competent jurisdiction.&nbsp;Notwithstanding the foregoing, if this arbitration provision is determined to be unenforceable in whole or in part, the Selling
Stockholder and the Company and the Underwriters shall (i)&nbsp;irrevocably submit to the exclusive jurisdiction of any state or federal court located in the State of New York, (ii)&nbsp;waive objection to the venue of any proceeding in such court
and (iii)&nbsp;waive objection that such court provides an inconvenient forum. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) The foregoing clause (a)&nbsp;shall not
apply to any dispute between the Company, on the one hand, and the Underwriters, on the other hand. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">23. <U>Nature of Agreement</U>. With
respect to the contractual liability of the Selling Stockholder to perform its obligations under this Agreement, with respect to itself or its property, the Selling Stockholder agrees that the execution, delivery and performance by it of this
Agreement constitute private and commercial acts done for private and commercial purposes. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">24. <U>General Provisions</U><I>. </I>This
Agreement constitutes the entire agreement of the parties to this Agreement and supersedes all prior written or oral and all contemporaneous oral agreements, understandings and negotiations with respect to the subject matter hereof, except as
expressly referred to herein; <I>provided</I>, <I>however</I>, that as between the Selling Stockholder and the Company, both parties acknowledge and agree that the Stock Purchase Agreement, dated as of November&nbsp;6, 2009, between the Selling
Stockholder and the Company (the &#147;<B>Prior Agreement</B>&#148;) and the Stockholder Agreement shall remain in full force and effect, including but not limited to Sections 6.3, 6.5, 6.6 and 6.7 of the Stockholder Agreement, and that all shares
of the Company&#146;s Common Stock issued to the Selling Stockholder pursuant to the Stock Purchase Agreement, other than the Stock offered hereunder and any shares of Common Stock purchased </P>

writing between the Company and the Selling Stockholder. This Agreement may be executed in two or more counterparts, each one of which shall be an original, with the same effect as if the signatures thereto and hereto were upon the same instrument.
Delivery of an executed counterpart of a signature page to this Agreement by telecopier, facsimile, email or other electronic transmission (<U>i.e</U>., &#147;pdf&#148; or &#147;tif&#148;) shall be effective as delivery of a manually executed
counterpart of this Agreement. This Agreement may not be amended or modified unless in writing by all of the parties hereto, and no condition herein (express or implied) may be waived unless waived in writing by each party whom the condition is
meant to benefit. The Section&nbsp;headings herein are for the convenience of the parties only and shall not affect the construction or interpretation of this Agreement. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Each of the parties hereto acknowledges that it is a sophisticated business person who was adequately represented by counsel during
negotiations regarding the provisions hereof, including, without limitation, the indemnification and contribution provisions of Section&nbsp;10, and is fully informed regarding said provisions. Each of the parties hereto further acknowledges that
the provisions of Sections&nbsp;10 hereto fairly allocate the risks in light of the ability of the parties to investigate the Company, its affairs and its business in order to assure that adequate disclosure has been made in the Registration
Statement, the Disclosure Package and the Prospectus (and any amendments and supplements thereto), as required by the Securities Act and the Exchange Act. </P>
