| Der Aufsichtsrat hat die Geschäftsführung der Gesellschaft während des Geschäftsjahres
2023 ständig überwacht und geprüft. |
During the business year 2023 the Supervisory Board has controlled and supervised
the management of the company on a regular base. |
| Der Vorstand hat nach Maßgabe der Vorschrift in § 90 Abs. 1 Aktiengesetz (AktG) die
Berichte an den Aufsichtsrat nach Maßgabe der dort genannten Kriterien stets und rechtzeitig
geliefert. Der Vorsitzende des Aufsichtsrates wurde über sämtliche wichtigen Vorgänge
unterrichtet. Darüber hinaus wurden die vom Aufsichtsrat verlangten Berichte (§ 90
Abs. 3 AktG) stets nach den Grundsätzen einer gewissenhaften und getreuen Rechenschaft
geliefert. |
The Management Board has submitted its reports to the Supervisory Board, regularly
and in time, in compliance with the criteria laid down in the provisions of § 90 (1)
AktG (German Stock Corporation Act). The Chairman of the Supervisory Board has been
informed of all important events. Furthermore, the reports required by and submitted
to the Supervisory Board (§ 90 (3) AktG) have always been in compliance with the principles
of conscientious and faithful accounting. |
| Mit dem Vorstand wurden persönlich und fernmündlich dessen Berichte sowie sonstige
Fragen der Geschäftspolitik erörtert. Darüber hinaus stand der Aufsichtsratsvorsitzende
mit dem Vorstand ständig in Kontakt. |
The reports and other issues relating to business policy have been discussed with
the Management Board, personally and by phone. Moreover, the Chairman of the Supervisory
Board kept constant contact with the Management Board. |
| Der Jahresabschluss für das Geschäftsjahr 2023 wurde vom Aufsichtsrat geprüft. |
The annual financial statements for the business year 2023 has been examined by the
Supervisory Board. |
| Die Vorschläge des Vorstands für die Verwendung des Bilanzgewinns des Geschäftsjahrs
2023 hat der Aufsichtsrat geprüft und gebilligt. |
The proposals of the Management Board on the appropriation of the profit for the business
year 2023 has been examined and approved by the Supervisory Board. |
| Die zu prüfenden Unterlagen wurden jedem Aufsichtsratsmitglied mit angemessenem Vorlauf
ausgehändigt. |
The documents to be examined were forwarded to each member of the Supervisory Board
in due time. |
| In seiner heutigen Sitzung hat der Aufsichtsrat den Jahresabschluss der Gesellschaft
für das Geschäftsjahr 2023 mit dem Vorstand erörtert, keine Einwendungen erhoben und
gebilligt. Demgemäß ist der Jahresabschluss der Gesellschaft festgestellt. |
In its meeting of today the Supervisory Board discussed with the Management Board
the annual financial statement of the Company for the business year 2023, did not
raise any objections and approved it. Accordingly, the annual financial statement
of the Company is adopted. |
