Amendment Description On July 23, 2019, AutoNation, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Filing”) to disclose, among other things, the appointment of (1) Cheryl Miller as the Chief Executive Officer and President of the Company, and as a member of the Company’s Board of Directors (the “Board”), effective as of July 22, 2019, and (2) James R. Bender as the Executive Vice President and Chief Operating Officer of the Company, effective as of July 22, 2019. This report amends the Original Filing to disclose new compensation arrangements approved by the Compensation Committee (the “Compensation Committee”) of the Board for each of Ms. Miller and Mr. Bender. Such compensation arrangements were not available at the time of the Original Filing.
