Item 2.02   Results of Operations and Financial Condition.

On November 7, 2019, the Company issued a news release announcing the Company’s third quarter 2019 financial results.  The news release is attached hereto as Exhibit 99.1 to this Form 8-K.

Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Lawrence P. Radford notified Hecla Mining Company (the “Company”) that he intends to retire as Senior Vice President – Chief Technical Officer of the Company as of December 11, 2019.

Item 8.01   Other Events.

On November 7, 2019, the Company announced it would pay a dividend on its shares of common stock in the amount of $0.0025, to shareholders of record as of November 22, 2019, payable on or about December 3, 2019.  In addition to the common stock dividend, the Company also announced it declared a dividend of $0.875 on its Series B Cumulative Convertible Preferred Stock to shareholders of record as of December 13, 2019, payable on or about January 2, 2020.
