in the Agree Realty Corporation proxy statement filed March 18, 2016, the Compensation Committee (the &ldquo;Committee&rdquo;)
of the Board of Directors of Agree Realty Corporation (the &ldquo;Company&rdquo;) on February 16, 2017, approved the adoption of
the 2017 Executive Incentive Plan (the &ldquo;Plan&rdquo;) to further align the Company and its executive officers&rsquo; performance
with the interests of the Company&rsquo;s shareholders. The executive officers will participate in the Plan at different award
levels, which the Committee approved concurrently with the establishment of the Plan.</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">&nbsp;</P>

<P STYLE="font: 10pt Times New Roman, Times, Serif; margin: 0pt 0; text-align: justify">The Plan provides each of the Company&rsquo;s
executive officers with an opportunity to earn an annual cash incentive award as well as an annual equity incentive award, of which
any equity awarded under the Plan will reduce the number of shares authorized for issuance under the Company&rsquo;s 2014 Omnibus
Incentive Plan. The annual cash and equity incentive opportunities are based on certain pre-established performance goals, which
are delineated as threshold, target and maximum. Each of these performance goals carries a specific weighting in determining each
executive officer&rsquo;s annual cash and equity incentive award.</P>

equal to 383% of his 2017 base salary at target. The Chief Operating Officer will have a targeted annual cash incentive opportunity
equal to 40% of base salary at target, and a targeted equity incentive opportunity equal to 100% of his 2017 base salary at target.
The Chief Financial Officer will have a targeted annual cash incentive opportunity equal to 40% of base salary at target, and a
targeted equity incentive opportunity equal to 70% of his 2017 base salary at target.</P>
