SUBSEQUENT EVENTS Acquisition of Greiner Industries On April 1, 2024, the Company acquired all of the equity interests of Greiner Industries, Inc., a Mount Joy, Pennsylvania-based structural steel fabrication and services company, to support the growth of our Infrastructure Solutions segment for a cash purchase price of $69,804, subject to post-closing adjustments to be determined based on the valuation of certain assets and liabilities, plus a maximum of $5,000 contingent consideration, payable upon achievement of certain future earnings targets. This acquired business will operate as a subsidiary in our Infrastructure Solutions segment. The fair value of the total consideration for this transaction remains subject to post-closing adjustments as of the date of this report.
