11. Short-term borrowings

 

The Company has the following borrowing facilities:

 

 

(a)

Fund-based and non-fund-based credit facilities with banks, which are available for operational requirements in the form of overdrafts, letters of credit, guarantees and short-term loans. As of December 31, 2019 and March 31, 2020, the limits available were $14,307 and $13,989, respectively, of which $7,486 and $7,292, respectively, was utilized, constituting non-funded drawdown.

 

 

(b)

A fund-based and non-fund based revolving credit facility of $500,000, which the Company obtained through an amendment of its existing credit agreement on August 9, 2018, as described in Note 12.  Prior to the amendment, the Company’s revolving credit facility was $350,000. The amended credit facility expires on August 8, 2023. The funded drawdown amount under the Company’s revolving facilities bore interest at a rate equal to LIBOR plus a margin of 1.375% as of December 31, 2019 and March 31, 2020. The unutilized amount on the revolving facilities bore a commitment fee of 0.20% as of December 31, 2019 and March 31, 2020.  As of December 31, 2019 and March 31, 2020, a total of $72,098 and $167,639, respectively, was utilized, of which $70,000 and $165,000, respectively, constituted funded drawdown and $2,098 and $2,639, respectively, constituted non-funded drawdown. The Company’s amended credit agreement contains certain customary covenants, including a maximum leverage covenant and a minimum interest coverage ratio. During the three months ended March 31, 2020, the Company was in compliance with the financial covenants of the credit agreement.
