(&#8220;SMC&#8221;). The Merger Agreement provides that, subject to the terms and conditions set forth therein, Merger Sub will merge with and into SMC (the &#8220;Merger&#8221;), with SMC surviving the Merger and becoming an indirect, wholly owned subsidiary of MSA.
