(the &#147;<U>Staff</U>&#148;) of the Securities and Exchange Commission (the &#147;<U>Commission</U>&#148;) in its letter dated December&nbsp;2, 2013 (the &#147;<U>Comment Letter</U>&#148;). The Company has previously submitted to the Securities
and Exchange Commission (the &#147;<U>Commission</U>&#148;), via EDGAR, its Draft Registration Statement on Form S-4 (the &#147;<U>Draft Registration Statement</U>&#148;). This letter, together with the Registration Statement on Form S-4 filed on
the date hereof (the &#147;<U>Registration Statement</U>&#148;), sets forth the Company&#146;s responses to the comments contained in the Comment Letter relating to the Draft Registration Statement. In addition, the Registration Statement updates
the financial statements and related disclosure in the Registration Statement to include financial results as of and for the nine-month period ended September&nbsp;30, 2013. </P>

domestication, the registrant, Platform BVI, is offering to exchange the securities of Platform BVI for securities in Platform Delaware following the domestication. We note that in two Staff no action letters in which registrants were seeking
successor status in connection with a domestication of a foreign corporation into a Delaware corporation where shareholder approval was not required, the registrant committed to registering all shares to be issued in the domestication on a Form S-4
and not to effect the domestication until such Form S-4 had been declared effective (<I>see Xoma Ltd.</I> (available December&nbsp;8, 2011) and <I>MF Global Ltd.</I> (available December&nbsp;15, 2009)). Furthermore, based on our precedent research,
it appears that substantially all of the registration statements relating to domestications of companies from non-U.S. jurisdictions into the United States were filed on Form S-4. </P>

in order to make the decisions required to allocate resources and assess the segment&#146;s performance. Operating profit for each segment includes net sales to third parties, related cost of sales and operating expenses directly attributable to the
segment. Operating profit for each segment also includes an allocation of certain corporate costs such as equity compensation expense and legal costs. Segment assets exclude corporate assets, which consist primarily of cash and cash equivalents,
