style="line-height:120%;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">On January 19, 2018, Itron, Inc. (&#8220;Itron&#8221;), closed the previously announced offering of an additional $100 million aggregate principal amount of its 5.000% senior notes due 2026 (the &#8220;Notes&#8221;). The Notes were issued pursuant to an indenture, dated as of December 22, 2017, as supplemented by the First Supplemental Indenture dated as of January 5, 2018 (the &#8220;Indenture&#8221;), among Itron, the guarantors from time to time party thereto and U.S. Bank National Association, as trustee.  </font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Notes will be guaranteed, jointly and severally, on a senior unsecured basis, by certain of Itron&#8217;s existing and future domestic subsidiaries. Itron intends to use the net proceeds from the offering of the Notes to refinance existing indebtedness, pay related fees and expenses and for general corporate purposes.</font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Notes and the guarantees will be Itron&#8217;s and the guarantors&#8217; senior unsecured obligations and will rank equally in right of payment with Itron&#8217;s and the guarantors&#8217; existing and future senior obligations.  Subject to certain exceptions, future subsidiaries that guarantee Itron&#8217;s senior secured credit facilities or guarantee certain other indebtedness will also guarantee the Notes.  The Notes and the guarantees will be effectively subordinated to all of Itron&#8217;s and the guarantors&#8217; secured indebtedness, including the senior secured credit facilities, to the extent of the value of the collateral securing such indebtedness and will be structurally subordinated to all existing and future liabilities of each of Itron&#8217;s existing and future subsidiaries that do not guarantee the Notes. </font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Notes will bear interest at a rate of 5.000% per annum, payable semi-annually on January 15 and July&#160;15 of each year, beginning on July 15, 2018, to persons who are registered holders of the Notes on the immediately preceding January 1 and July 1, respectively. </font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">In the event of a Change of Control (as defined in the Indenture), each holder of the Notes will have the right to require Itron to repurchase all or any part of that holder&#8217;s Notes at a purchase price of 101% of the principal amount of Notes repurchased, plus accrued and unpaid interest, if any, to the date of such repurchase. </font></div><div style="line-height:120%;padding-bottom:8px;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Notes will mature on January 15, 2026. However, prior to January 15, 2021, Itron may, at its option, redeem some or all of the Notes at a redemption price equal to 100% of the principal amount of the Notes, together with accrued and unpaid interest, if any, plus a &#8220;make-whole&#8221; premium. On or after January 15, 2021, Itron may, at its option, redeem some or all of the Notes at any time at declining redemption prices equal to 102.500% beginning on January 15, 2021, 101.250% beginning on January&#160;15, 2022 and 100.000% beginning on January 15, 2023 and thereafter, plus, in each case, accrued and unpaid interest, if any, to the applicable redemption date. In addition, before January 15, 2021, and subject to certain conditions, Itron may, at its option, redeem up to 35% of the aggregate principal amount of Notes with the net proceeds of certain equity offerings at 105.000% of the principal amount thereof, plus accrued and unpaid interest, if any, to the date of redemption; </font><font style="font-family:inherit;font-size:11pt;font-style:italic;">provided </font><font style="font-family:inherit;font-size:11pt;">that (i) at least 65% of the aggregate principal amount of Notes remains outstanding after such redemption and (ii) the redemption occurs within 60 days of the closing of any such equity offering.</font></div><div style="line-height:120%;padding-bottom:8px;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The above description of the Indenture does not purport to be a complete statement of the parties&#8217; rights and obligations under the Indenture and is qualified in its entirety by reference to the terms of the Indenture, a copy of which is attached as Exhibit 4.1 to Itron&#8217;s Current Report on Form 8-K filed December 22, 2017 and incorporated herein by reference. </font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">The Notes and the related guarantees will not be registered under the Securities Act of 1933, as amended, or the securities laws of any state or other jurisdiction, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.</font></div><div style="line-height:120%;padding-top:16px;text-align:justify;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">This report does not constitute an offer to sell, or a solicitation of an offer to buy, any security.
