<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">As previously announced, on June&nbsp;17, 2021, GS Acquisition Holdings Corp II, a Delaware corporation (the &#147;Company&#148; or
&#147;GSAH&#148;), announced that it entered into a Business Combination Agreement (the &#147;Agreement&#148;), dated as of June&nbsp;17, 2021, by and among the Company, Mirion Technologies (TopCo), Ltd., a Jersey private company limited by shares
(&#147;Mirion&#148;), CCP IX LP No.&nbsp;1, CCP IX LP No.&nbsp;2, CCP IX <FONT STYLE="white-space:nowrap">Co-Investment</FONT> LP and CCP IX <FONT STYLE="white-space:nowrap">Co-Investment</FONT> No.&nbsp;2 LP (collectively, the &#147;Charterhouse
Parties&#148;), each acting by their general partner, Charterhouse General Partners (IX)&nbsp;Limited, for the limited purpose set forth therein, each of the other persons set forth on Annex I thereto (together with the Charterhouse Parties, the
&#147;Supporting Mirion Holders&#148;) and the other holders of existing shares of Mirion who become a party thereto by executing a joinder agreement (each, a &#147;Joining Seller&#148; and, collectively, the &#147;Joining Sellers&#148; and,
together with each Supporting Mirion Holder, each, a &#147;Seller&#148; and, collectively, the &#147;Sellers&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On August&nbsp;3,
2021, a purported stockholder of the Company sent a letter to the Company&#146;s board of directors claiming that the board of directors is improperly denying the Company&#146;s Class&nbsp;A common stockholders the right under Delaware law to a
separate class vote with respect to the Company&#146;s proposal to increase the number of authorized shares of the Company&#146;s Class&nbsp;A common stock in connection with the Company&#146;s proposed business combination with Mirion. While the
Company believes that no such separate class vote is required and that the claims and allegations in the August&nbsp;3, 2021 letter are without merit, on September&nbsp;3, 2021, pursuant to Section&nbsp;13.04 of the Agreement, the Company, Mirion
and the Charterhouse Parties, on behalf of the Sellers, entered into Amendment No.&nbsp;1 to the Business Combination Agreement (the &#147;Amendment&#148;). The Amendment provides, among other things, that the holders of the Company&#146;s
Class&nbsp;A common stock shall separately vote on the proposal to increase the number of authorized shares of the Company&#146;s Class&nbsp;A common stock (the &#147;Class&nbsp;A Vote Proposal&#148;). Approval of the Class&nbsp;A Vote Proposal is
not a condition to the closing of the transactions contemplated by the Agreement. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Other than as modified pursuant to the Amendment, the

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">This AMENDMENT NO. 1 TO BUSINESS COMBINATION AGREEMENT, dated as of September&nbsp;2, 2021 (this &#147;<U>Amendment</U>&#148;), is made by and
among Mirion Technologies (TopCo), Ltd., a Jersey private company limited by shares (the &#147;<B>Company</B>&#148;), GS Acquisition Holdings Corp II, a Delaware corporation (the &#147;<B>SPAC</B>&#148;) and CCP IX LP No.&nbsp;1, CCP IX LP
No.&nbsp;2, CCP IX <FONT STYLE="white-space:nowrap">Co-Investment</FONT> LP and CCP IX <FONT STYLE="white-space:nowrap">Co-Investment</FONT> No.&nbsp;2 LP (collectively, the &#147;<B>Charterhouse Parties</B>&#148;), each acting by their general
partner, Charterhouse General Partners (IX)&nbsp;Limited, on behalf of the Sellers. Capitalized terms used herein but not specifically defined herein shall have the meanings ascribed to such terms in the Business Combination Agreement (as defined
below). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">WHEREAS, the Company, the SPAC and the Charterhouse Parties are parties to that certain Business Combination Agreement, dated as
of June&nbsp;17, 2021 (the &#147;<B>Business Combination Agreement</B>&#148;); </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">WHEREAS, pursuant to Section&nbsp;13.04 of the Business
Combination Agreement, any provision of the Business Combination Agreement may be amended in writing signed by the Company, the SPAC and the Charterhouse Parties, on behalf of the Sellers; and </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">WHEREAS, each of the Company, the SPAC and the Charterhouse Parties, on behalf of the Sellers, agrees to amend the Business Combination
Agreement as described below. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">NOW, THEREFORE, in consideration of the foregoing and the representations, warranties, covenants and
agreements herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties to this Amendment agree as follows: </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">1. Effective as of the date of this Amendment, the Business Combination Agreement is hereby amended as follows: </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) The seventh recital in the recitals to the Business Combination Agreement is hereby amended and restated in its entirety to read as
follows: </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">WHEREAS, prior to the Closing and immediately prior to the closing of the PIPE Financing, the SPAC shall, subject
to obtaining the approval by the Requisite Existing SPAC Stockholders of the Transaction Proposals (other than the SPAC Class&nbsp;A Vote Proposal), file a certificate of incorporation (the &#147;<B>New SPAC Certificate of Incorporation</B>&#148;)
with the Secretary of State of the State of Delaware substantially in the form attached hereto as Exhibit A and will adopt bylaws (the &#147;<B>New SPAC Bylaws</B>&#148;) substantially in the form attached hereto as Exhibit B, which provide, among
other things, that (i)&nbsp;the SPAC will have two classes of common stock, New SPAC Class&nbsp;A Common Shares and New SPAC Class&nbsp;B Common Shares and (ii)&nbsp;the Board of Directors of the SPAC will be composed of up to nine
(9)&nbsp;directors; </P>

SPAC Special Meeting, if necessary, to permit further solicitation of proxies because there are not sufficient votes to approve and adopt any of the foregoing; and (j)&nbsp;the increase in the number of New SPAC Class&nbsp;A Common Shares authorized
for issuance pursuant to the New SPAC Certificate of Incorporation (this clause (j), the &#147;<B>SPAC Class</B><B></B><B>&nbsp;A Vote Proposal</B>&#148;). </P>

insofar as enforceability may be limited by Enforceability Exceptions. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(f) Section 5.05(c) of the Business Combination Agreement is hereby

(ii)&nbsp;and (iii), at the request of the Company, shall) postpone or adjourn the SPAC Special Meeting for a period of no longer than fifteen (15)&nbsp;days: (i) to ensure that any supplement or amendment to the Proxy Statement that the board of
directors of the SPAC has determined in good faith is required by Applicable Law is disclosed to the Existing SPAC Stockholders and for such supplement or amendment to be promptly disseminated to such Existing SPAC Stockholders prior to the SPAC
Special Meeting; (ii)&nbsp;if, as of the time for which the SPAC Special Meeting is originally scheduled (as set forth in the Proxy Statement), there are insufficient Existing SPAC Class&nbsp;A Common Shares represented (either in person or by
proxy) to constitute a quorum necessary to conduct the business to be conducted at the SPAC Special Meeting; (iii)&nbsp;in order to solicit additional proxies from Existing SPAC Stockholders for purposes of obtaining approval of the Transaction
Proposals; or (iv)&nbsp;only with the prior written consent of the Company to seek withdrawal of redemption requests, for purposes of satisfying the Minimum Cash Condition; provided, that, notwithstanding any longer adjournment or postponement
period specified at the beginning of this sentence, in the event of any such postponement or adjournment, the SPAC Special Meeting shall be reconvened as promptly as practicable following such time as the matters described in such clauses have been

fullest extent permitted by the DGCL. The right to indemnification conferred in this Article 8 shall also include the right to be paid by the Corporation the expenses incurred in connection with any such proceeding in advance of its final
disposition to the fullest extent authorized by the DGCL provided, that, such Indemnified Person agrees to repay such amount if it shall ultimately be determined that such Indemnified Person is not entitled to be indemnified by the Corporation as

then the Company Group shall be primarily liable for all indemnification, reimbursements, advancements or similar payments (the &#147;<B>Indemnity Obligations</B>&#148;) afforded to such Indemnified Person acting in such capacity or capacities on
behalf or at the request of the Board of Directors, the Corporation or any other member of the Company Group, in such capacity, whether the Indemnity Obligations are created by law, organizational or constituent documents, contract or otherwise.
Notwithstanding the fact that any stockholder of the Corporation and its Affiliates other than the Company Group (such Persons (excluding any member of the Company Group), together with their respective heirs, successors and assigns, the
&#147;<B>Other Indemnitors</B>&#148;) may have concurrent liability to an Indemnified Person with respect to the Indemnity Obligations, the Corporation hereby agrees that in no event shall the Corporation or any other member of the Company Group
have any right or claim against any of the Other Indemnitors for contribution or have rights of subrogation against any Other Indemnitors through an Indemnified Person for any payment made by the Corporation or any other member of the Company Group
with respect to any Indemnity Obligation. In addition, the Corporation hereby agrees that no advancement or payment by the Other Indemnitors on behalf of an Indemnified Person with respect to any claim for which an Indemnified Person has sought
indemnification from the Corporation or any other member of the Company Group shall affect the foregoing and the Other Indemnitors shall have a right of contribution and/or be subrogated to the extent of such advancement or payment to all of the
rights of recovery of such Indemnified Person against the Corporation or any other member of the Company Group. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;8.05.
<I>Nonexclusivity of Rights</I>. The rights and authority conferred in this Article 8 shall not be exclusive of any other right that any Person may otherwise have or hereafter acquire. </P>

Corporation or its Subsidiaries might reasonably be deemed to have pursued or had the ability or desire to pursue if granted the opportunity to do so, and each such Covered Persons shall have no duty to communicate or offer such business opportunity
matter, potential transaction, interest or other matter to the Corporation (and there shall be no restriction on the Covered Persons using the general knowledge and understanding of the industry in which the Corporation operates which it has gained

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;11.04. <I>Certain Definitions</I>. As used in this Certificate of Incorporation, unless the context otherwise requires or as set
forth in another Article or Section of this Certificate of Incorporation, the term: </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(a) &#147;<B>Affiliate</B>&#148; means, with respect
to any Person, any other person or entity who, as of the relevant time for which the determination of affiliation is being made, directly or indirectly controls, is controlled by or is under common control with such Person. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(b) &#147;<B>Disposition Event</B>&#148; means any merger, consolidation or other business combination of the Corporation, whether effectuated
through one transaction or series of related transactions (including a tender offer followed by a merger in which holders of Class&nbsp;A Common Stock receive the same consideration per share paid in the tender offer), unless, following such
transaction, all or substantially all of the holders of the voting power of all outstanding classes of Common Stock and series of Preferred Stock that are generally entitled to vote in the election of Directors prior to such transaction or series of
transactions, continue to hold a majority of the voting power of the surviving entity (or its parent) resulting from such transaction or series of transactions in substantially the same proportions as immediately prior to such transaction or series
of transactions. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(c) &#147;<B>Mirion IntermediateCo</B>&#148; means Mirion IntermediateCo, Inc., a Delaware corporation. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(d) &#147;<B>Mirion IntermediateCo Charter</B>&#148; means the certificate of incorporation of Mirion IntermediateCo, as it may be amended,
restated or otherwise modified from time to time. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(e) &#147;<B>Mirion IntermediateCo Class</B><B></B><B>&nbsp;B Common Stock</B>&#148;
means the shares of Class&nbsp;B common stock, par value $0.0001 per share, of Mirion IntermediateCo. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(f) &#147;<B>Paired
Interest</B>&#148; means one share of Class&nbsp;B Common Stock and one share of Mirion IntermediateCo Class&nbsp;B Common Stock, subject to adjustment pursuant to Section&nbsp;4.03(a)(iv). </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(g) &#147;<B>Person</B>&#148; means any individual, partnership, firm, corporation, limited liability company, association, trust,
unincorporated organization or other entity. </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">(h) &#147;<B>Subsidiary</B>&#148; means, with respect to any Person, any corporation,
partnership, limited liability company, association, joint venture or other business entity of which more than 50% of the total voting power of equity securities or other ownership interests entitled (without regard to the occurrence of any
contingency) to vote in the election of the Person or Persons (whether directors, managers, trustees or other Persons performing similar functions) having the power to direct or cause the direction of the management and policies thereof is at the
time owned or controlled, directly or indirectly, by that Person or one or more of the other Subsidiaries of that Person or a combination thereof. </P>

indirectly, any sale, assignment, exchange, gift, bequest, pledge, hypothecation or other transfer, disposition or encumbrance of such share or any legal or beneficial interest in such share, in whole or in part, whether or not for value and whether
voluntary or involuntary or by operation of law; <I>provided</I>, <I>however</I>, that the following shall not be considered a &#147;Transfer:&#148; </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(i) the granting of a revocable proxy to officers or directors of the Corporation at the request of the Board of Directors in
connection with actions to be taken at an annual or special meeting of stockholders or in connection with any action by written consent of the stockholders solicited by the Board of Directors; </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(ii) entering into a customary voting or support agreement (with or without granting a proxy) in connection with any merger,
consolidation or other business combination of the Corporation, whether effectuated through one transaction or series of related transactions (including a tender offer followed by a merger in which holders of Class&nbsp;A Common Stock receive the
same consideration per share paid in the tender offer); </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(iii) the pledge of shares of capital stock of the Corporation by
a stockholder that creates a mere security interest in such shares pursuant to a bona fide loan or indebtedness transaction so long as such stockholder continues to exercise sole voting control over such pledged shares; <I>provided</I>,
<I>however</I>, that a foreclosure on such shares or other similar action by the pledgee shall constitute a &#147;Transfer&#148; hereunder unless subject to an exception in the definition thereof; </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(iv) entering into a trading plan pursuant to Rule <FONT STYLE="white-space:nowrap">10b5-1</FONT> under the Securities Exchange
Act of 1934, as amended, with a broker or other nominee; <I>provided</I>, <I>however</I>, that a sale of shares of Class&nbsp;A Common Stock upon redemption or exchange of Mirion IntermediateCo Class&nbsp;B Common Stock pursuant to such plan shall
constitute a &#147;Transfer&#148; at the time of such sale unless subject to an exception in the definition thereof; or </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; margin-left:4%; text-indent:4%; font-size:10pt; font-family:Times New Roman">(v) the fact that the spouse of any holder of Class&nbsp;B Common Stock possesses or obtains an interest in such holder&#146;s
shares of Class&nbsp;B Common Stock arising solely by reason of the application of the community property laws of any jurisdiction, so long as no other event or circumstance shall exist or have occurred that constitutes a &#147;Transfer&#148; of
