Item 7.01 Regulation FD Disclosure.

On August 8, 2019, New Jersey Natural Gas Company (“NJNG”), a wholly-owned subsidiary of New Jersey Resources Corporation (“NJR”), will disclose certain selected unaudited financial information for the nine month period ended June 30, 2019, as provided below, in a Preliminary Reoffering Circular dated August 8, 2019, in connection with the reoffering and sale of the following tax-exempt bonds issued by the New Jersey Economic Development Authority (the “Authority”) for the benefit of NJNG: $9,545,000 aggregate principal amount of Natural Gas Facilities Refunding Revenue Bonds, Series 2011A (Non-AMT) (New Jersey Natural Gas Company Project), $41,000,000 aggregate principal amount of Natural Gas Facilities Refunding Revenue Bonds, Series 2011B (AMT) (New Jersey Natural Gas Company Project) and $46,500,000 aggregate principal amount of Natural Gas Facilities Refunding Revenue Bonds, Series 2011C (AMT) (New Jersey Natural Gas Company Project) (collectively, the “Bonds”). NJNG is obligated to pay the principal or purchase price of, premium, if any, and interest on the Bonds pursuant to a Loan Agreement with the Authority, which obligation is secured by three separate series of NJNG’s first mortgage bonds. It is anticipated that the delivery of the reoffered Bonds will occur on August 22, 2019. Certain of the selected unaudited financial information below is derived from NJR’s Form 10-Q for the quarterly period ended June 30, 2019, filed with the U.S. Securities and Exchange Commission (the “SEC”) on August 6, 2019.
