Item 5.02 (b) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

Mr. Dennis L. Brand has informed the Company of his desire to resign from the Board of Directors, effective as of its next meeting on December 21, 2023. Mr. Brand's resignation was not due to a disagreement or any matters relating to the Company's operations, policies or practices. Mr. Brand will continue as an employee of the Company, and to serve as the Chairman of the Executive Committee, and on the boards of two of the Company’s subsidiary banks, Pegasus Bank and Worthington Bank.
