        <footnote id="F1">On October 6, 2011, the reporting person was granted an award of performance-based stock options to purchase an aggregate of 365,000 shares of common stock. The options vest in three equal annual installments subject to the issuer's satisfaction of certain performance criteria as of the end of the issuer's fiscal year in any of 2012, 2013 or 2014. The performance criteria were determined to be satisfied as of the end of the issuer's 2012 fiscal year, resulting in the vesting of one-third of the options, or 121,667 options.
