11. Item 9 – Other Events

We disclose the listing of the additional 27,679,210 shares of Common Stock of PLDT at the Philippine Stock Exchange (the “Exchange”) effective November 14, 2011 (the “Subject Shares”), following the approval of the listing application for said shares by the Exchange on November 9, 2011. The Subject Shares were issued on October 26, 2011 at the issue price of Php2,500 per share, as payment for the acquisition by PLDT of the following properties valued at about Php69.2 billion:

  1.   a total of 3,277,135,882 shares of common stock of Digital Telecommunications Philippines, Inc. (“Digitel“), representing approximately 51.55% of the issued and outstanding capital stock of Digitel registered in the names of, and/or beneficially owned by, JG Summit Holdings, Inc. (“JG Summit”) and certain other sellers;

  2.   zero coupon bonds due 2013 and 2014 issued by the Digitel Group to JG Summit which were assumed to be convertible or exchangeable into 18.6 billion common shares of Digitel; and

  3.   Php34.1 billion of advances made by JG Summit to the Digitel Group.
