Dear Sirs,

The purpose hereof is to inform you -in accordance with the requirements of the regulations under the United States Securities and Exchange Act- that during the Annual Meeting of Shareholders held today at 10.00 am, the representative of shareholder Compañía de Inversiones de Energia S.A. (CIESA), submitted the following motion which was approved by the majority of the shareholders: (i) to distribute Argentine pesos (“AR$”) 976,000,000.- as Cash Dividends to be paid next May 27^th, 2011; (ii) to allocate AR$ 5,111,744.- to Legal Reserve and (iii) AR$ 164,128,020 to Statutory Reserve.
