    <div style="text-indent: 36pt;">On July 29, 2019, Polaris Industries Inc. (the &#8220;Company&#8221;) filed with the state of Minnesota Secretary of State the Articles of Amendment adopting the restated Articles of Incorporation (the &#8220;Restated Articles&#8221;) to change
      its corporate name to &#8220;Polaris Inc.&#8221; effective July 29, 2019. The Company's common stock will continue to trade under the name Polaris Industries Inc. through August 7, 2019 and will commence trading under the name Polaris Inc. on August 8, 2019.</div>

      the holders of all then outstanding voting shares, voting together as a single class, unless such change shall have been approved by a majority of the entire Board of Directors.&#160; If such change shall not have been so approved, the number of directors
      shall remain the same.&#160; In the event that the Board of Directors shall consist of three or more persons, the directors shall be divided into three classes, designated Class I, Class II and III.&#160; Each class shall consist, as nearly as may be possible,
      of one-third number of directors constituting the entire Board of Directors.</div>

      any Assistant Secretary, but when a certificate is signed by a transfer agent or a registrar, the signature of any such officer and the corporate seal upon such certificate may be facsimiles, engraved or printed. If a person signs or has a facsimile

      Directors. If a document must be executed by persons holding different offices or functions and one person holds such offices or exercises such functions, that person may execute the document in more than one capacity if the document indicates each

      proceeding to all persons entitled to indemnification under this Section 6.01, all in the manner, under the circumstances and to the extent permitted by Section 302A.521 of the Minnesota Business Corporation Act, as now enacted or hereafter amended.
