<FONT STYLE="white-space:nowrap">S-8</FONT> (File <FONT STYLE="white-space:nowrap">No.&nbsp;333-238942)</FONT> with the Securities and Exchange Commission (the &#147;Commission&#148;) on June&nbsp;4, 2020 (the &#147;Prior Registration
Statement&#148;) with respect to the offer and sale of 10,682,035 shares of the Company&#146;s common stock, par value $0.01 per share (the &#147;Common Stock&#148;), issuable under the American Eagle Outfitters, Inc. 2020 Stock Award and Incentive
Plan (the &#147;Prior Plan&#148;). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On April&nbsp;24, 2023, subject to stockholder approval, the Board of Directors of the Company adopted
the American Eagle Outfitters, Inc. 2023 Stock Award and Incentive Plan (the &#147;Plan&#148;). The Plan was subsequently approved by the Company&#146;s stockholders at the Company&#146;s 2023 Annual Meeting of Stockholders held on June&nbsp;7, 2023
(the &#147;Effective Date&#148;) and, as a result, no further awards may be made under the Prior Plan. The number of shares of Common Stock authorized for issuance pursuant to the Plan is equal to 10,617,000 newly authorized shares (the &#147;Newly
Authorized Shares&#148;), plus (i)&nbsp;any shares that remained available for issuance under the Prior Plan as of immediately prior to the Effective Date and (ii)&nbsp;any shares subject to awards, or outstanding awards under prior plans, that
terminate or expire unexercised, or are canceled, forfeited, or lapse for any reason, shares underlying awards that are ultimately settled in cash or property other than shares, and shares that are tendered by the participant or withheld by the
Company to satisfy any tax withholding obligation with respect to an award other than an option or stock appreciation right, subject to proportionate adjustment in the event of stock splits and similar events (together, the &#147;Rollover
Shares&#148;). As of the Effective Date, the maximum number of Rollover Shares that may be issued or transferred pursuant to awards under the 2023 Plan as a result of applying the formula described in (i)&nbsp;and (ii) above will not exceed
3,284,154 shares of Common Stock. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Accordingly, the Company is filing this Post-Effective Amendment No.&nbsp;1 to the Prior Registration
Statement (this &#147;Post-Effective Amendment&#148;) pursuant to SEC Compliance and Disclosure Interpretation 126.43 to amend the Prior Registration Statement to register the offer of the Rollover Shares under the Plan. The Company incorporates the

improper personal benefit. </P> <P STYLE="margin-top:18pt; margin-bottom:0pt; margin-left:4%; font-size:10pt; font-family:Times New Roman"><I>Amended and Restated Bylaws </I></P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article IX of the Company&#146;s Amended and Restated Bylaws (the &#147;Bylaws&#148;) includes the right of former directors and officers to be
paid by the Company the expenses incurred in defending a civil or criminal action, suit, or proceeding in advance of its final disposition. The Company may provide advancement of expenses to former employees and agents of the Company to the extent
and to such effect as the board of directors determine to be appropriate and authorized by the DGCL, as it may be amended from time to time. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article IX of the Bylaws also sets forth specific procedures for the advancement of expenses and for the determination of entitlement to
indemnification. Certain portions of Article IX are summarized below: </P> <P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article IX provides that advancement of such expenses are to be paid
by the Company within twenty (20)&nbsp;days after the receipt by the Company of a statement or statements from the claimant requesting such advance or advances, provided that the claimant delivers to the Company an undertaking to repay all amounts
so advanced unless it shall ultimately be determined that such person is entitled to be indemnified. To obtain indemnification, a claimant shall submit to the Company a written request, including such documentation and information as is reasonably
available to the claimant and is reasonably necessary to determine whether and to what extent the claimant is entitled to advancement or indemnification. In the event the determination of entitlement is to be made by independent counsel, the
independent counsel shall be selected by the board of directors of the Company. If it is so determined that the claimant is entitled to indemnification, payment to the claimant shall be made within ten (10)&nbsp;days after such determination. If a
claim has not been paid in full by the Company within thirty (30)&nbsp;days after a written claim has been received by the Company, the claimant may at any time bring suit against the Company to recover the unpaid amount of the claim and, if
successful in whole or in part, the claimant shall also be entitled to be paid the expense of prosecuting such claim. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Article IX provides
that if a determination shall be made by any means permitted by the DGCL that the claimant is entitled to indemnification, the Company shall be bound by such determination in any judicial proceeding. The Company shall be precluded from asserting in
any judicial proceeding commenced pursuant to Article IX of the Bylaws that the procedures and presumptions of the Bylaws are not valid, binding, and enforceable and shall stipulate in such proceeding that the Company is bound by all the provisions

person&#146;s conduct was unlawful. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;145(b) of the DGCL provides that a corporation may indemnify any person who was or is a
party or is threatened to be made a party to any threatened, pending, or completed action or suit by or in the right of the corporation to procure a judgment in its favor by reason of the fact that such person is or was a director, officer,
employee, or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee, or agent of another corporation, partnership, joint venture, trust, or other enterprise against expenses (including
attorneys&#146; fees) actually and reasonably incurred by such person in connection with the defense or settlement of such action or suit if such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to
the best interests of the corporation, except that no indemnification shall be made in respect of any claim, issue, or matter in which such person shall have been adjudged to be liable to the corporation unless and only to the extent that the
Delaware Court of Chancery or the court in which such action or suit was brought shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably
entitled to indemnity for such expenses which the Delaware Court of Chancery or such other court shall deem proper. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Under
Section&nbsp;145(c) of the DGCL, indemnification against expenses (including attorneys&#146; fees) actually and reasonably incurred by directors, officers, employees, and agents is required in those cases where the person to be indemnified has been
successful on the merits or otherwise in defense of any action, suit, or proceeding referred to in Section&nbsp;145(a) and (b), or in defense of any claim, issue, or matter therein. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;145(d) of the DGCL provides that any indemnification under Section&nbsp;145(a) and (b) (unless ordered by a court) shall be made
by the corporation only as authorized in the specific case upon a determination that indemnification of the present or former director, officer, employee, or agent is proper in the circumstances because such person has met the applicable standard of
conduct set forth in Section&nbsp;145(a) and (b). Such determination shall be made, with respect to a person who is a director or officer at the time of such determination, (1)&nbsp;by a majority vote of the directors who were not parties to such
action, suit, or proceeding, even though less than a quorum, or (2)&nbsp;by a committee of such directors designated by majority vote of such directors, even though less than a quorum, or (3)&nbsp;if there are no such directors, or if such directors
so direct, by independent legal counsel in a written opinion, or (4)&nbsp;by the stockholders. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;145(e) of the DGCL provides
that expenses (including attorneys&#146; fees) incurred by an officer or director in defending any civil, criminal, administrative, or investigative action, suit, or proceeding may be paid by the corporation in advance of the final disposition of
such action, suit, or proceeding upon receipt of an undertaking by or on behalf of such director or officer to repay such amount if it shall ultimately be determined that such person is not entitled to be indemnified by the corporation as authorized
in Section&nbsp;145. Such expenses (including attorneys&#146; fees) incurred by former directors and officers or other employees and agents may be so paid upon such terms and conditions, if any, as the corporation deems appropriate. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Section&nbsp;145(f) of the DGCL provides that the indemnification and advancement of expenses provided by, or granted pursuant to,
Section&nbsp;145 shall not be deemed exclusive of any other rights to which those seeking indemnification or advancement of expenses may be entitled under any bylaw, agreement, vote of stockholders or disinterested directors, or otherwise, both as
to action in such person&#146;s official capacity and as to action in another capacity while holding such office. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">Under

Post-Effective Amendment No.&nbsp;1 (the &#147;Post-Effective Amendment&#148;) to the Registration Statement on Form <FONT STYLE="white-space:nowrap">S-8</FONT> (File <FONT STYLE="white-space:nowrap">No.&nbsp;333-238942)</FONT> (the
&#147;Registration Statement&#148;) under the Securities Act of 1933, as amended (the &#147;Act&#148;), with the Securities and Exchange Commission (the &#147;SEC&#148;) on the date hereof with respect to the Rollover Shares (as defined below)
authorized for issuance under the Plan (as defined below). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">On June&nbsp;7, 2023 (the &#147;Effective Date&#148;), Company stockholders approved the
American Eagle Outfitters, Inc. 2023 Stock Award and Incentive Plan (the &#147;Plan&#148;). The total number of shares of common stock of the Company, $0.01 par value (the &#147;Common Stock&#148;), authorized for issuance under the Plan includes,
in addition to 10,617,000 new shares (registered concurrently on a new Registration Statement on Form <FONT STYLE="white-space:nowrap">S-8),</FONT> (i) any shares that remained available for issuance under the American Eagle Outfitters, Inc. 2020
Stock Award and Incentive Plan (the &#147;Prior Plan&#148;) as of immediately prior to the Effective Date and (ii)&nbsp;any shares subject to awards, or outstanding awards under prior plans that terminate or expire unexercised, or are canceled,
forfeited, or lapse for any reason, shares underlying awards that are ultimately settled in cash or property other than shares, and shares that are tendered by the participant or withheld by the Company to satisfy any tax withholding obligation with
respect to an award other than an option or stock appreciation right, subject to proportionate adjustment in the event of stock splits and similar events (together, the &#147;Rollover Shares&#148;). As of the Effective Date, the maximum number of
Rollover Shares that may be issued or transferred pursuant to awards under the Plan as a result of applying the formula described in (i) and (ii) above will not exceed 3,284,154 shares of Common Stock. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">In connection with this opinion letter, we have examined the Post-Effective Amendment and originals, or copies certified or otherwise identified to our
satisfaction, of (i)&nbsp;the Amended and Restated Certificate of Incorporation of the Company, as amended to date, (ii)&nbsp;the Amended and Restated Bylaws of the Company, as amended to date, (iii)&nbsp;certain resolutions of the Company&#146;s
Board of Directors relating to the Registration Statement, (iv)&nbsp;the Plan, (v)&nbsp;the Prior Plan, and (vi)&nbsp;such other documents, records, and other instruments as we have deemed appropriate for purposes of the opinions set forth herein.

foregoing and the other matters set forth herein, we are of the opinion, as of the date hereof, that any original issuance of the Rollover Shares that may be issued pursuant to the Plan have been duly authorized by the Company and, when issued by
the Company in accordance with the provisions of the Plan, will be validly issued, fully paid, and <FONT STYLE="white-space:nowrap">non-assessable.</FONT> </P>
