Fair Value Disclosures [Abstract]
Fair Value Information

FAIR VALUE INFORMATION
Fair Value Hierarchy
Fair value is the exchange price that would be received for an asset or paid to transfer a liability (exit price) in the principal or most advantageous market for the asset or liability in an orderly transaction between market participants on the measurement date.
The following disclosure provides the fair value information for financial assets and liabilities as of December
31
,
2018
. The fair value hierarchy prioritizes the inputs to valuation techniques used to measure fair value into three broad levels (Level
1
, Level
2
and Level
3)
.

Level
 1 —
Quoted prices in active markets for identical assets or liabilities in active markets that are accessible at the measurement date.

Level
 2
 — Observable inputs other than Level 1, including quoted prices for similar assets and liabilities in active markets, quoted prices in less active markets, or other observable inputs or model derived valuations that can be corroborated by observable market data, either directly or indirectly, for substantially the full term of the financial instrument.

Level
 3
 — Prices or valuation techniques that require inputs that are both significant to the fair value measurement and unobservable. These valuation methodologies generally include pricing models, discounted cash flow models, or a determination of fair value that requires significant management judgment or estimation.
There were no transfers in and out of Level
1
and Level
2
during the years ended December
31
,
2018
and
2017.

Assets and Liabilities Measured at Fair Value on a Non-Recurring Basis
We may be required to measure certain assets at fair value on a non-recurring basis in accordance with
GAAP. These adjustments to fair value usually result from application of lower of cost or fair value accounting or write-downs of individual assets.
For assets measured at fair value on a non-recurring basis that were held on the balance sheet at December
31
,
2018
and
2017
, respectively,

the following tables provide the level of valuation assumptions used to determine each adjustment and the carrying value of the related assets that had losses during the period.

Fair Value of Financial Instruments
The following disclosure presents estimated fair value of our financial instruments. The estimated fair value amounts have been determined by the Company using available market information and appropriate valuation methodologies. However, considerable judgment is required to develop the estimates of fair value. Accordingly, the estimates presented below are not necessarily indicative of the amounts the Company may realize in a current market exchange as of December 31, 2018 and 2017, respectively.
The use of different market assumptions and/or estimation methodologies may have a material effect on the estimated fair value amounts.
