On behalf of Nuveen AMT-Free Municipal Credit Income Fund (the “Fund”), a diversified, closed-end management investment company, organized as a Massachusetts business trust, registered under the Investment Company Act of 1940, as amended (the “1940 Act”), we are enclosing herewith for filing pursuant to the Securities Act of 1933, as amended (the “Securities Act”), and the General Rules and Regulations of the Securities and Exchange Commission (the “Commission”) thereunder, and the 1940 Act, and the General Rules and Regulations of the Commission thereunder, an electronically signed Registration Statement on Form N-2, which serves as Amendment No. 12 to the Fund’s Registration Statement under the 1940 Act (File No. 811-09475) (the “Registration Statement”).
