OHB Group sold shareholding in US space business SpaceDev Inc. according to
the merger agreement with Sierra Nevada Corporation
Bremen/Augsburg, December 17, 2008. OHB Technology Group (ISIN:
DE0005936124, Prime Standard), sold their 19 percent shareholding in
publicly listed SpaceDev Inc, Poway (California), USA, (NASDAQ, OTCBB:
SPDV). Sierra Nevada Corporation (SNC) acquired by way of a merger of a
wholly owned subsidiary of SNC into SpaceDev 7,973,129 shares from OHB
Technology AG and MT Aerospace AG for 0.72658 USD per share according to
the merger agreement.
Proceeds of sales of the shareholding amounts to around 5.8 million USD
corresponding currently to 4.1 million EUR. OHB Group realizes a book
profit of 0.5 million EUR from its SpaceDev investment. Earnings per share
of OHB Group in 2008 will benefit from this transaction in the amount of
approximately 0.05 EUR.
OHB Technology and SpaceDev/SNC will continue their strategic partnership
to cooperate in US space business.
