facility to, among other things, increase the aggregate principal amount of the revolving commitments to a maximum amount of $900.0 million and provide for additional uncommitted incremental extensions of credit in the form of increases in the
revolving commitments or incremental term loans in an aggregate principal amount up to $100.0 million and to extend the maturity from December 2016 to December 2017 for those lenders agreeing to such extension. </FONT></P>

STYLE="font-family:Times New Roman" SIZE="2">% Senior Notes due 2017 (the &#147;2017 Notes&#148;). There is currently $465.0 million aggregate principal amount of the 2017 Notes outstanding. In conjunction with the tender offer, the Company is
soliciting consents from holders of the 2017 Notes to effect certain proposed amendments to the indenture governing the 2017 Notes. The proposed amendments would eliminate substantially all of the restrictive covenants and certain events of default
provisions in the indenture governing the 2017 Notes. The tender offer and the consent solicitation (the &#147;Offer&#148;) are being made pursuant to an Offer to Purchase and Consent Solicitation Statement and a related Consent and Letter of
Transmittal, each dated as of March&nbsp;21, 2013. The Offer will expire at 11:59 p.m., New York City time, on April&nbsp;17, 2013, unless extended or earlier terminated (the &#147;Expiration Time&#148;). </FONT></FONT></P>
