our modular power system design methodology, the basis for our transition to an OEM-focused strategy. At the same time, our Picor subsidiary undertook development of a high-performance family of point-of-load regulators, in &#147;SiP&#148; (System
in Package LGA package) format (where LGA refers to &#147;land grid array&#148;), to be integrated into our expanded product portfolio, truly enabling comprehensive power management solutions to point(s)-of-load. Picor is a fabless (i.e., it
utilizes third parties to manufacture its products) designer, developer, and marketer of high performance integrated circuits and related products for use in a variety of power system applications. In 2014, we introduced the VIA packaging concept, a
rugged, double-sided package for ChiP modules integrating complementary components, circuitry, and superior thermal management. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">3TG
appear in virtually all Vicor products. For example, tin is utilized as a joining material in all devices (tin-based solder), tantalum is used in tantalum capacitors, tungsten is used in certain electronic components used in VI Chip products, and

of our size, the complexity of our products, and the depth, breadth, and constant evolution of our supply chain, it is difficult to identify actors upstream from our direct suppliers. There are many tiers of suppliers and sub-suppliers between the
Company and a smelter that processes 3TG that is contained in a particular product. Therefore, it is inherently difficult to ascertain the ultimate source of 3TG in the products we manufacture. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">As a result, we are relying on our direct suppliers to provide information on the origin of the 3TG contained in components and materials
supplied to us &#150; including sources of 3TG that are supplied to them from lower tier suppliers. Since 2013, we have revised contract terms applicable to many of our suppliers with regard to 3TG. Those terms require suppliers to issue
certificates certifying compliance with Section&nbsp;1502 of the Dodd-Frank Act, as may be applicable to the materials and/or services being provided. Our primary means of determining country of origin of necessary 3TG was by conducting a supply
chain survey with direct suppliers using the joint Electronic Industry Citizen Coalition (&#147;EICC&#148;) and Global e-Sustainability Initiative (&#147;GeSI&#148;) EICC-GeSI Conflict Minerals Reporting Template (&#147;CMRT&#148;), version 4.10 or
higher. This supply chain survey, and the conflict minerals program as a whole, has been developed and implemented in cooperation with our third-party service provider, Assent Compliance, Inc. (&#147;Assent&#148;). All of our direct suppliers were
surveyed as we could not definitively determine which supplier sourced material contained 3TG that were necessary to the functionality or production of our products. </P>

Rwanda, South Sudan, Tanzania, Uganda and Zambia, thereby reducing financial support for the ongoing humanitarian crisis in the region. Vicor is fully committed to the effort to exclude from its products any Conflict Minerals, the purchase of which

Written instructions and recorded training illustrating the use of the tool are available on EICC&#146;s website. The majority of companies required to file a Specialized Disclosure Report on Form SD are using the CMRT in their compliance processes
related to conflict minerals. All of our direct suppliers were surveyed as we could not definitively determine which products contained 3TG that were necessary to the functionality or production of our products. This supply chain survey, and the

platform that enables its users to complete and track supplier communications as well as allow suppliers to upload completed CMRT forms directly to the platform for risk assessment and management. Non-responsive suppliers were contacted a minimum of
three times by the Assent Compliance Manager and then were also managed by the Assent Compliance Supply Chain team in one-on-one communications. This included two follow ups from the supply chain team. For the 2016 reporting period, there was a
significant decrease due to the closure during 2015 of 4 subsidiary manufacturing locations, partially offset by an increase in the number of suppliers surveyed due to an increase in size in Vicor&#146;s supply chain. This resulted in a total
Supplier Listing very much reduced from the total used in previous years. For the 2016 Reporting Year, Vicor requested product specific CMRTs from all suppliers contacted. This was done to be able to receive smelter names that were actually used to
produce Vicor components and/or products. While not all suppliers were able to provide product specific CMRTs, many were able to do so. Vicor received responses from 50.8% of in-scope suppliers. Of the 504 suppliers that provided a response,
approximately 35% reported that their products contained 3TGs necessary to the functionality or production of their products. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">This
year&#146;s program included automated data validation on all submitted CMRTs. The goal of data validation is to increase the accuracy of submissions and identify any contradictory answers in the CMRT. All submitted forms are accepted and classified
as valid or invalid so that data is still retained. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">On the basis of the responses to our RCOI, Vicor is unable to determine that 3TGs
necessary to the functionality or production of our products did not originate in the DRC or any of the Covered Countries. Therefore, in accordance with Rule 13p-1, Vicor engaged in the due diligence measures on the source and chain of custody of

suppliers to other SEC registrants that are subject to the Rule. Tracing materials back to their mine of origin is a complex aspect of responsible sourcing in our supply chain. We have determined that seeking information about 3TG smelters and
refiners in our supply chain represents the most reasonable effort we can make to determine the mines or locations of origin of the 3TGs in our supply chain. This was done by adopting methodology outlined by the Conflict-Free Sourcing
Initiative&#146;s (&#147;CFSI&#148;) joint industry programs and outreach initiatives and requiring our suppliers to conform with the same standards to meet the OECD Guidelines, and report to us using the CMRT. Through this industry joint effort, we
made reasonable determination of the mines or locations of origin of the 3TGs in our supply chain. We also requested that all of our suppliers support the initiative by following the sourcing initiative and working to align their declared sources
with the &#147;Known&#148; and &#147;Conflict Free&#148; lists of sourced metals. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">In accordance with OECD Guidelines, we assess the risk
levels associated with conflict minerals in our supply chain. Smelters that are not certified as DRC-Conflict Free by third party sources such as the CFSI or the London Bullion Market Association (&#147;LBMA&#148;) Responsible Gold Programme, pose a

we reviewed responses to the reporting CMRT with specific suppliers where we needed clarification. As described in our conflict minerals policy, we intend to engage any of our suppliers whom we have reason to believe are supplying us with 3TG from
sources that may support conflict in the DRC or any adjoining country to establish an alternative source of 3TG that does not support such conflict, as provided in the OECD guidance. </P>

three follow-up inquiries to each &#147;failed&#148; supplier who did not respond to our initial survey, by phone or email. Assent reviewed the responses against criteria developed to determine which required further engagement with our suppliers.
These criteria included incomplete responses as well as inconsistencies within the data reported in the CMRT. Assent worked directly with those suppliers to provide revised responses. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">The majority of the responses received provided data at the supplier company level or a division/segment level relative to the supplier, rather
than at a level directly relating to a part number that the supplier supplies to us, or were otherwise unable to specify the smelters or refiners used for components supplied to us. We were therefore unable to determine whether any of the 3TG that
these suppliers reported were contained in components or parts that the suppliers supplied to us or to validate that any of these smelters or refiners are actually in our supply chain. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">As a result, we have elected not to present smelter and refiner names in this report. </P>
<P STYLE="margin-top:6pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">For all responses that indicated a smelter, Assent compared the facilities listed to the list of smelters maintained by the Conflict-Free
Sourcing Initiative (&#147;CFSI&#148;). If a supplier indicated that the facility was certified as &#147;Conflict-Free,&#148; Assent confirmed that the name was listed by CFSI as a certified smelter. Assent has assembled a dedicated Smelter Team to
review and assess Smelter Data. As of April&nbsp;15, 2017 , we had identified 317 smelters or refiners as legitimate and we are working to validate the additional smelter/refiner entries from the submitted CMRTs. </P>
