requirements related to conflict minerals as directed by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 (the &#147;Dodd-Frank Act&#148;). The Rule imposes certain reporting obligations on SEC registrants whose manufactured
products contain <FONT STYLE="white-space:nowrap">so-called</FONT> conflict minerals that are necessary to the functionality or production of their products. &#147;Conflict minerals&#148; are defined as (A)&nbsp;cassiterite, columbite-tantalite,
gold, wolframite, and their derivatives, which are limited to tin, tantalum, tungsten, and gold (&#147;3TG&#148;); or B) any other mineral or its derivatives determined by the Secretary of State to be financing conflict in the Democratic Republic of
Congo (&#147;DRC&#148;) or any adjoining country that shares an internationally recognized border with the DRC. The adjoining countries include: the Republic of the Congo, the Central African Republic, South Sudan, Rwanda, Uganda, Zambia, Burundi,
Tanzania and Angola. These requirements apply to registrants whatever the geographic origin of the conflict minerals and whether or not the conflict minerals fund armed conflict in the DRC or an adjoining country (the &#147;Covered Countries&#148;).

customer requirements, we are implementing a strategy addressing both the realities of today&#146;s power conversion marketplace and our vision of its long-term direction. Our balanced strategy involves maintaining a profitable legacy business in
bricks and brick-based system solutions, while investing in the next generation of power management components incorporating innovations of our VI&nbsp;Chip<SUP STYLE="font-size:85%; vertical-align:top"> </SUP><SUP
STYLE="font-size:85%; vertical-align:top"></SUP><SUP STYLE="font-size:85%; vertical-align:top">TM</SUP> and Picor <SUP STYLE="font-size:85%; vertical-align:top"></SUP><SUP STYLE="font-size:85%; vertical-align:top">&reg;</SUP> subsidiaries. Picor is
a fabless (i.e., it utilizes third parties to manufacture its products) designer, developer, and marketer of high performance integrated circuits and related products for use in a variety of power system applications. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Beginning in 2011, with an expanded portfolio of advanced products from our VI Chip and Picor subsidiaries, we began to focus our strategic
efforts toward higher-volume opportunities with global OEMs and the Original Design Manufacturers (&#147;ODMs&#148;) and contract manufacturers serving these OEMs, as FPA and our advanced products offered superior power density, conversion
efficiency, and thermal management characteristics for board-based, rack-mounted <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">point-of-load</FONT></FONT> applications, notably for microprocessors requiring tightly regulated,
high currents. FPA and our first generation VI Chip modules were adopted by customers for use in demanding applications, most notably supercomputing, sophisticated test instrumentation, and defense electronics. However, broader adoption was
inhibited by cost considerations and, to a lesser extent, our initially limited product range. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In response, we undertook development of a
substantially improved product platform, which we introduced in 2013. Our &#147;ChiP&#148; platform (ChiP is an acronym for &#147;Converter housed in Package<SUP STYLE="font-size:85%; vertical-align:top">&#153;</SUP>&#148;) specifically was designed
to be a scalable product format, with lower manufacturing costs, which could be leveraged to efficiently and quickly broaden product offerings. ChiPs are offered in the same functional families as the earlier VI Chip modules, using the same advanced
switching topologies, but, because of the format&#146;s improved manufacturability and design leveragability, we are able to offer much broader ranges of performance specifications within existing and new functional families. Because ChiPs were
designed to be manufactured in volume with lower costs, we are able to profitably sell ChiPs and ChiP-based solutions at competitive prices, on a <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">cents-per-watt</FONT></FONT> basis,
comparable to prices of alternative commodity products. While our first-generation VI Chip modules were designed to facilitate FPA implementations, ChiP modules support all known power distribution architectures, including FPA, thereby expanding our
addressable market opportunity (i.e., the range of customer applications across which our advanced products can be used). </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">At the same
time, we developed a high-performance family of <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">point-of-load</FONT></FONT> regulators, in System in Package (&#147;SiP&#148;) format, to be integrated into our expanding product
portfolio, truly enabling comprehensive power management solutions to <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">point(s)-of-load.</FONT></FONT> These ZVS
<FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">point-of-load</FONT></FONT> regulators have been designed to meet the requirements of high-volume customers for differentiated performance and cost effectiveness. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In 2014, we introduced the &#147;VIA&#148; packaging concept (VIA is an acronym for &#147;Vicor Integrated Adaptor<SUP
STYLE="font-size:85%; vertical-align:top">&#153;</SUP>&#148;), a rugged, double-sided package for ChiP modules integrating complementary components and circuitry, offering superior thermal management characteristics. The VIA package provides
customers an advanced, <FONT STYLE="white-space:nowrap">turn-key</FONT> solution for their demanding power needs, cost-effectively accelerating design cycles and
<FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">time-to-market,</FONT></FONT> while providing superior power density. The VIA package is particularly differentiated for certain applications with challenging form factor and thermal
management requirements, such as those often associated with defense electronics. We consider the VIA package to be strategically important, as it has been designed to be used in the widest range of power system architectures and applications,
allowing us to target applications ranging from those addressed by our legacy brick products to the most challenging emerging applications. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">In 2015, we introduced a family of <FONT STYLE="white-space:nowrap">non-isolated,</FONT> fixed conversion ratio, <FONT
STYLE="white-space:nowrap">bi-directional,</FONT> bus converter modules (the &#147;NBM&#153;&#148; family). Highly differentiated NBMs exploit our latest innovations in magnetics and semiconductors, enabling improved efficiency and power density,
and represent, we believe, a competitively important element of our Power Component Design Methodology, complementing other advanced products to expand the range of board-level applications served by our integrated solutions. </P>

size, the complexity of our products, and the depth, breadth, and constant evolution of our supply chain, it is difficult to identify actors upstream from our direct suppliers. There are many tiers of suppliers and
<FONT STYLE="white-space:nowrap">sub-suppliers</FONT> between the Company and a smelter that processes 3TG that is contained in a particular product. Therefore, it is inherently difficult to ascertain the ultimate source of 3TG in the products we
manufacture. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">As a result, we are relying on our direct suppliers to provide information on the origin of the 3TG contained in components
and materials supplied to us &#150; including sources of 3TG that are supplied to them from lower tier suppliers. Since 2013, we have revised contract terms applicable to many of our suppliers with regard to 3TG. Those terms require suppliers to
issue certificates certifying compliance with Section&nbsp;1502 of the Dodd-Frank Act, as may be applicable to the materials and/or services being provided. Our primary means of determining country of origin of necessary 3TG was by conducting a
supply chain survey with direct suppliers using the Responsible Minerals Initiative (&#147;RMI&#148;) Conflict Minerals Reporting Template (&#147;CMRT&#148;), version 5.0 or higher. This supply chain survey, and the conflict minerals program as a
whole, has been developed and implemented in cooperation with our third-party service provider, Assent Compliance, Inc. (&#147;Assent&#148;). All of our direct suppliers were surveyed as we could not definitively determine which supplier sourced
material contained 3TG that were necessary to the functionality or production of our products. </P> <P STYLE="font-size:12pt;margin-top:0pt;margin-bottom:0pt">&nbsp;</P>

Street Reform and Consumer Protection Act require us to make reasonable efforts to determine and document the origin of certain metals used in our products. The intent of the provisions is to inhibit and restrict the demand for &#147;Conflict
Minerals&#148; (i.e., gold, tantalum, tin, and tungsten, as well as their ores) sourced from the Democratic Republic of the Congo, or the adjoining central African countries of Angola, Burundi, Central African Republic, the Republic of the Congo,
Rwanda, South Sudan, Tanzania, Uganda and Zambia, thereby reducing financial support for the ongoing humanitarian crisis in the region. Vicor is fully committed to the effort to exclude from its products any Conflict Minerals, the purchase of which
might indirectly benefit insurgent, armed groups, and others engaged in the abuse of human rights. </I></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman"><I>Having confirmed the use of the
subject metals in our products, we established and began a process by which we are documenting our supply chain and identifying vendors of the subject metals. With these vendors, we will seek to identify the country and mine of origin for the
subject metals we use. If we conclude we have used &#147;Conflict Minerals&#148;, we must undertake further evaluation of the origin of the specific metals to determine their specific source (i.e., whether the metals were sourced from a mine,
smelter, or refiner not participating in an approved conflict-free certification program). </I></P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman"><I>We are collaborating closely with

track supplier communications as well as allow suppliers to upload completed CMRT forms directly to the platform for risk assessment and management. <FONT STYLE="white-space:nowrap">Non-responsive</FONT> suppliers were contacted a minimum of three
times by the Assent Compliance Manager and then were also managed by the Assent Compliance Supply Chain team in <FONT STYLE="white-space:nowrap"><FONT STYLE="white-space:nowrap">one-on-one</FONT></FONT> communications. This included two follow ups
from the supply chain team. For the 2017 Reporting Year, Vicor requested Product specific CMRTs from all suppliers contacted. This was done to be able to receive smelter names that were actually used to produce Vicor Components/Products. While not
all suppliers were able to provide Product based CMRTs, many were able to do so. Vicor received responses from 57.4% of <FONT STYLE="white-space:nowrap">in-scope</FONT> suppliers. Of the 487 suppliers that provided a response, approximately 76.4%
reported that their products contained 3TGs necessary to the functionality or production of their products. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">This year&#146;s program
includes automated data validation on all submitted CMRTs. The goal of data validation is to increase the accuracy of submissions and identify any contradictory answers in the CMRT. All submitted forms are accepted and classified as valid or invalid
so that data is still retained. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">On the basis of the responses to our RCOI, Vicor is unable to determine that 3TGs necessary to the

<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">We have identified approximately 900 direct suppliers. We rely on suppliers whose materials or components contain 3TG to provide us with
information about the source of 3TG contained in those materials or components. Our direct suppliers similarly rely upon information provided by their suppliers. Many of the largest suppliers either are SEC registrants and subject to the Rule or are
suppliers to other SEC registrants that are subject to the Rule. Tracing materials back to their mine of origin is a complex aspect of responsible sourcing in our supply chain. We have determined that seeking information about 3TG smelters and
refiners in our supply chain represents the most reasonable effort we can make to determine the mines or locations of origin of the 3TGs in our supply chain. This was done by adopting methodology outlined by the RMI&#146;s joint industry programs
and outreach initiatives and requiring our suppliers to conform with the same standards to meet the OECD Guidelines, and report to us using the CMRT. Through this industry joint effort, we made reasonable determination of the mines or locations of
origin of the 3TGs in our supply chain. We also requested that all of our suppliers support the initiative by following the sourcing initiative and working to align their declared sources with the &#147;Known&#148; and &#147;Conflict Free&#148;
lists of sourced metals. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">To assess the risk that any of these smelters posed to our supply chain, Assent determined if the smelter had
been audited against a standard in conformance with the OECD Guidance, such as the RMAP. We do not have a direct relationship with 3TG </P>

smelters and refiners and do not perform or direct audits of these entities within our supply chain. Smelters that have completed an RMAP audit are considered to be
<FONT STYLE="white-space:nowrap">DRC-Conflict</FONT> Free. In cases where the smelter&#146;s due diligence practices have not been audited against the RMAP standard, a potential supply chain risk exists. Each facility that meets the RMI definition
of a smelter or refiner of a 3TG mineral is assessed according to red flag indicators defined in the OECD Guidance. Assent uses three factors to determine the level of risk that each smelter poses to the supply chain by identifying red flags:
(i)&nbsp;geographic proximity to the DRC and Covered Countries; (ii)&nbsp;Responsible Minerals Assurance Process audit status; and (iii)&nbsp;credible evidence of unethical or conflict sourcing. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:4%; font-size:10pt; font-family:Times New Roman">As per the OECD Due Diligence Guidance, suppliers are given clear performance objectives within reasonable timeframes with the ultimate goal
of progressive elimination of these risks from the supply chain. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; font-size:10pt; font-family:Times New Roman">In addition, suppliers are guided to the Assent University learning platform to engage
in educational materials on mitigating the risk of smelters or refiners on the supply chain. </P> <P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">Additionally, suppliers are evaluated on
program strength (further assisting in identifying risk in the supply chain). The criteria used to evaluate the strength of the program are: </P>

documented instructions through Assent. We answered all questions that suppliers requiring further clarification presented to us. We then provided each supplier a copy of the CMRT to complete for purposes of conflict minerals tracking. Furthermore,
we reviewed responses to the reporting CMRT with specific suppliers where we needed clarification. As described in our conflict minerals policy, we intend to engage any of our suppliers whom we have reason to believe are supplying us with 3TG from
sources that may support conflict in the DRC or any adjoining country to establish an alternative source of 3TG that does not support such conflict, as provided in the OECD guidance. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">As a last resort in cases which may be termed &#147;extreme,&#148; Vicor has established a Risk and a Resolution Committee to respond to
suppliers that are deemed to potentially expose the Company to unacceptable risks, either due to unacceptable responses to our inquiries or due to a refusal to respond or to ultimate <FONT STYLE="white-space:nowrap">non-responses.</FONT> This may

rather than at a level directly relating to a part number that the supplier supplies to us, or were otherwise unable to specify the smelters or refiners used for components supplied to us. We were therefore unable to determine whether any of the 3TG
that these suppliers reported were contained in components or parts that the suppliers supplied to us or to validate that any of these smelters or refiners are actually in our supply chain. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">As a result, we have elected not to present smelter and refiner names in this report. </P>
<P STYLE="margin-top:12pt; margin-bottom:0pt; text-indent:8%; font-size:10pt; font-family:Times New Roman">For all responses that indicated a smelter, Assent compared the facilities listed to the list of smelters maintained by the RMI . If a
