        <footnote id="F1">Each Restricted Stock Unit (&quot;RSU&quot;) represents a contingent right to receive one share of the Issuer's common stock pursuant to the InvenTrust Properties Corp. 2015 Incentive Award Plan. The RSUs were originally scheduled to vest on the date of the Issuer's next annual meeting of stockholders. Given that the Issuer's next annual meeting of stockholders will be in May 2018, the Issuer's Compensation Committee and Board of Directors have approved the acceleration of the vesting of these RSUs to November 9, 2017, which is the effective date of Mr. Borden's resignation, which was November 9, 2017. The RSUs will be settled 25% in shares of the Issuer's common stock and 75% in cash within 60 days of the new vesting date.</footnote>
