&#8220;Our earnings before income taxes consisted of&#160;80%&#160;of earnings from foreign jurisdictions in fiscal 2017, compared to&#160;75%&#160;in fiscal 2016, which had the impact of reducing the current year effective income tax rate.&#8221; With this information, a reader of the financial statements is 1) able to anticipate a lower than U.S. statutory effective income tax rate for both periods presented and 2) anticipate a lower effective income tax rate in fiscal 2017 versus fiscal 2016 based upon the comparative year differential in foreign-based earnings percentages.&#160;&#160; </font></div><div style="line-height:120%;text-align:left;padding-left:24px;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><div style="line-height:120%;text-align:left;padding-left:24px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;text-decoration:underline;">Amount of tax benefits derived from tax planning initiatives</font><font style="font-family:inherit;font-size:11pt;">&#32;</font><font style="font-family:inherit;font-size:11pt;">- to provide relative context to the impact of this item on the effective income tax rate, the Company uses descriptive modifiers such as &#8220;significantly lower than the federal income tax rate&#8221; to describe fiscal 2017 income tax planning initiatives versus only &#8220;lower than the federal income tax rate&#8221; for fiscal 2016 income tax planning initiatives.&#160;&#160; It is important to note the effective rate impact of income tax planning is more significant in a year of &#8220;reduced earnings before income taxes&#8221; such as fiscal 2017 and is a further contributing factor to a significantly lower than federal income tax rate. As such, a reader of the financial statements is 1) able to anticipate a lower than U.S. statutory effective income tax rate for both periods presented and 2) anticipate a lower effective income tax rate in fiscal 2017 versus fiscal 2016 based upon a more significant impact of tax planning initiatives in fiscal 2017. The primary income tax planning initiative in fiscal 2017 includes the recognition of a tax benefit of certain losses from prior years for which no tax benefit was previously recognized. The primary income tax planning initiative in fiscal 2016 included certain foreign currency gains and losses recognized for tax purposes.&#160; </font></div><div style="line-height:120%;text-align:left;padding-left:24px;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><div style="line-height:120%;text-align:left;padding-left:24px;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;">As a result, the Company&#8217;s view is our existing disclosures are generally adequate and consistent with our letter to you dated February 25, 2016 in which we committed to &#8220;expand our disclosures to quantify the factors impacting income tax expense and the effective tax rate.&#8221;</font></div><div style="line-height:120%;text-align:left;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><div style="line-height:120%;text-align:left;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;"><br></font></div><div><br></div><div><div style="line-height:120%;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div></div><hr style="page-break-after:always"><div><div style="line-height:120%;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div></div><div><br></div><div style="line-height:120%;text-align:left;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;font-weight:bold;text-decoration:underline;">Definitive Proxy Statement on Schedule 14A</font></div><div style="line-height:120%;text-align:left;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><div style="line-height:120%;text-align:left;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;font-weight:bold;text-decoration:underline;">Executive Compensation, page 18</font></div><div style="line-height:120%;text-align:left;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><div style="line-height:120%;text-align:left;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;font-weight:bold;text-decoration:underline;">Annual Bonus, page 21 </font></div><div style="line-height:120%;text-align:left;padding-left:24px;font-size:10pt;"><font style="font-family:inherit;font-size:10pt;"><br></font></div><table cellpadding="0" cellspacing="0" style="font-family:Times New Roman; font-size:10pt;"><tr><td style="width:24px;"></td><td></td></tr><tr><td style="vertical-align:top"><div style="line-height:120%;font-size:11pt;padding-left:0px;"><font style="font-family:inherit;font-size:10pt;">6.</font></div></td><td style="vertical-align:top;"><div style="line-height:120%;text-align:left;font-size:11pt;"><font style="font-family:inherit;font-size:11pt;font-style:italic;font-weight:bold;">In future filings, if you believe disclosure of the Combined Management Measure targets would cause competitive harm in reliance upon Item 402(b) of Regulation S-K, please disclose how difficult it will be for the executive or how likely it will be for the company to achieve the undisclosed CMM targets.
