who is a stockholder of record on the date of giving of the notice provided for in this Bylaw and on the record date for the determination of stockholders entitled to vote at such meeting and who has complied with the notice procedures set forth in

otherwise prescribed by statute, may be called at any time by the Chairman of the Board, the President, the Board of Directors acting pursuant to a resolution adopted by a majority of the Board or upon written request of the holders of at least 50%
of all of the issued and outstanding shares entitled to vote, provided they shall make written application to the Secretary stating the time, place, and purpose or purposes, and the Secretary shall thereupon call the meeting and issue notice as
herein provided. Such request for a special meeting shall state the purpose or purposes of the proposed meeting, and at such special meeting only such matters as shall be specified in the call therefor shall be considered. </FONT></P> <P
